If such failure continues uncured for a period of thirty (30) calendar days after having written notice of such failure, then such Limited Partner shall be considered in default and may, in the sole discretion of the General Partner, be designated a "Defaulting Partner". Unless the Defaulting Partner has cured its failure to make the required Contribution, the General Partner may then, in its sole discretion, take any one or more of the following actions without providing further notice to the DefaultingPartner:

Any resolution in writing, signed by all members of the Investment Committee for the time being entitled to have notice of such meeting shall be as valid and effectual as if it had been passed at a meeting of the members of the Investment Committee.
