The Purchaser has all requisite power, authority and capacity to enter into this Agreement and other Transaction Documents to which it is a party, and to perform its obligations hereunder and thereunder. 

受让方拥有签署本协议以及其作为其中一方的其他交易文件及履行本协议以及其作为其中一方的其他交易文件项下的义务所需的各种权力、授权和能力。

Party A has full right, power, authority and capacity and all consents and approvals of any other third party and government necessary to execute and perform this Agreement, which shall not be against any enforceable and effective laws or contracts.

甲方享有对于执行和履行本协议所必须的，不与任何其他有效或生效的法律或契约相抵触的，完全的权利、权力、权限和能力，以及任何其他第三方或政府的同意与批准。
