顾问服务协议（Consulting Service Agreement），顾问服务协议是希望获得专业顾问服务（professional consulting services）的个人或企业（甲方）与提供服务的乙方之间签署的协议。

一、咨询服务 Consulting Services

乙方同意为甲方提供______________服务，具体内容如下：

四、保密信息 Confidential Information

本条规定的保密义务在本合同因任何原因而期满或终止后继续有效。

The confidentiality obligation set out in this article shall survive the expiration or termination hereof for whatever reason.

五、合同终止 Termination of Agreement

包括决定终止合同的时间及终止的后果（Consequences of Termination）等。

六、赔偿 Indemnification

乙方应在因其自身或其员工、代理人引发或产生的行为、疏忽、或过失所造成的损失、索赔或损害的范围内，对由于本合同或由乙方执行合同项下的工作或服务引起，导致或附带的任何及所有损失、索赔或损害负责，并自行赔偿并保障甲方及其员工和客户因此而遭受的损失，包括合理的律师费及法庭费用。本赔偿条款在合同期满或终止后继续有效。

Party B shall be liable for any and all losses, claims, or damages arising from, caused by or in connection with this Agreement or the performance of work or services by Party B hereunder to the extent that they are attributable to its own or its employees or agents’ acts, omissions, or negligence, and shall indemnify and hold Party A, its employees, and customers harmless from and against any losses suffered as a result, including reasonable attorney fees and court costs. This indemnification provision shall survive the expiration or termination hereof.
