represent一词,最基本的意思是“代表”,它是法律英语的常见词,在法律英语中有三个基本的用法:
1声明并保证
Both the Seller and the Purchaser represent and warrant that no broker was involved in negotiating this purchase and sale, and both the Seller and the Purchaser agree to indemnify and hold each other harmless against any and all claims for brokerage.
买卖双方声明并保证没有中介介入交易磋商,且同意赔偿对方因中介引起的索赔并使其免受损害。
注:represent通常和warrant连用,作为合同中一个固定的用法出现,译为“声明并保证”
2法定代表人
legal representative通常在文件的签名部分出现,译为“法定代表人”,这里要注意与representative of legal person区分,后者是“法人代表”。一般而言,法定代表人只有一个,而法人代表可以有多个。
