To the relevant departments of the CPC Central Committee, all ministries and commissions of and all institutions directly under the State Council, the General Office of the Standing Committee of the NPC, the General Office of the CPPCC, the central committees of all democratic parties, all people's organizations, the relevant social groups and the relevant enterprises directly under the Central Government:

With the purpose of pushing forward the reform of the organizations publishing books, newspapers, periodicals, audio-video products, electronic products or on-line products which are directly under the Ministries and commissions of the Central Government, all democratic parties, relevant social groups or state-owned enterprises or public institutions (hereinafter referred to as the "central publishers") and strengthening the supervision and administration of state-owned assets during transformation or restructuring of central publishers, in accordance with the Notice on Strengthening State-Owned Assets Management in the Reform of Cultural System (Cai Jiao No. 213 [2007]) approved by the Central Party Committee and the State Council and other relevant state laws and regulations, this Notice regarding relevant matters is hereby issued as follows:

    党中央有关部门,国务院各部委、各直属机构,全国人大常委会办公厅,全国政协办公厅,各民主党派中央,各人民团体,有关社会团体,有关中央直属企业:

    为加快中央和国家机关各部委、各民主党派、各有关社会团体、国有企事业单位等主管主办的图书、报纸、期刊、音像、电子出版单位及网络出版机构(以下简称中央出版单位)的改革步伐,加强中央出版单位转制和改制中国有资产监督管理工作,根据国家有关法律法规以及经党中央、国务院批准的《关于在文化体制改革中加强国有资产管理的通知》(财教[2007]213号)要求,现将有关事项通知如下:

1. The term "state-owned assets of central publishers" refers to all forms of State investments in central publishers and the equities generated therefrom, as well as other equities which are legally determined to be owned by the State, including all forms of tangible and intangible state-owned assets; the term "transformation" refers to the process of transforming for profit the publisher into an enterprise; and the term "restructuring" refers to the process of reforming a publishing enterprise into implementing the corporate system.

       一、中央出版单位国有资产,是指国家对中央出版单位各种形式的投入和投入所形成的权益,以及依法认定为国家所有的其他权益,包括各类有形和无形国有资产;转制是指经营性出版单位转制为企业,改制是指出版企业公司制改造。

2. Transformation and restructuring of a central publisher shall be conducted in accordance with the relevant provisions and policies of the central government on the reform of the cultural system. The central publisher shall formulate a specific reform plan, and, subject to the consent of the supervision and administration authority, submit the plan to the General Administration of Press and Publication prior to its implementation. Any issues involving state-owned assets shall be subject to administrative examination and approval from the General Administration of Press and Publication, Propaganda Department of the CPC Central Committee and the Ministry of Finance.

       二、中央出版单位转制和改制,应根据中央有关文化体制改革的规定和政策,制定本单位的具体改革方案,经主管主办部门审核同意,报新闻出版总署批准后实施。涉及国有资产事项,由新闻出版总署商中宣部、财政部同意后批复。

3. During the transforming or restructuring of a central publisher, the supervision and administration authority shall be responsible for the basic management work, such as the making of the inventory of assets, the supervision and management of assets appraisal and financial auditing. Relevant results shall be reported to the Ministry of Finance for its approval or record. If the transfer of state-owned assets is involved, the approval from the Ministry of Finance shall be required.

       三、中央出版单位转制和改制时,应由其主管主办单位负责组织做好清产核资、资产评估、财务审计等基础工作,有关结果报财政部批准或审核备案;涉及国有资产划转的,须报财政部审批。

4. The Ministry of Finance shall be responsible for the supervision and administration over the state-owned assets of the central publishers. If the transformed or restructured central publisher becomes disconnected with its former administrative authority, its assets relationship shall be listed separately at the Ministry of Finance and the Ministry of Finance shall supervise its state-owned assets. Where the said relationship remains unchanged and comply with the relevant provisions, supervision system for the state-owned assets shall remain unchanged.

       四、财政部对中央出版单位国有资产履行监管职责。中央出版单位转制或改制后与原主管主办单位脱钩的,其资产财务关系在财政部单列,由财政部直接履行国有资产的监管职能;中央出版单位转制或改制后与原主管主办单位国有资产隶属关系不变且符合国家规定的,国有资产监管体制维持不变。

5. Where transforming or restructuring of a central publisher involves administrative licensing issues such as any change in the capital structure, the merger or split of the publishers, it shall be subject to the approval from the General Administration of Press and Publication. If any major asset changes such as reorganization, transformation into a joint-stock enterprise, investment or financing events are involved, the central publisher shall be subject to the consent from the Propaganda Department of the CPC Central Committee and the approval from the Ministry of Finance prior to its implementation.

       五、中央出版单位转制或改制,涉及资本结构变更、出版单位合并或分立等行政许可事项,须报新闻出版总署审批;企业重组、股份制改造、投融资活动等重大资产变动事项,须经中宣部同意,并报财政部批准后实施。

6. The central publishers shall, work out the reform plan in a conscientious manner, carry out the procedures for examination and approval and carefully organize the implementation of the plan with the purpose of ensuring the integrity, the preservation of and increase in the value of State-owned assets, in strict accordance with the relevant provisions.

       六、中央出版单位要认真制定改革方案，严格按规定履行审批程序，精心组织实施，确保国有资产安全完整、保值增值。
