  Article 1    In order to implement the Measures on the Second National General Investigation of Basic Units, and to define legal person units and industrial activity units scientifically, these Rules are hereby enacted according to the relevant laws and regulations of this country.

       第一条  为实施《第二次全国基本单位普查办法》,科学界定法人单位及产业活动单位,根据国家有关法律法规,制定本规定。

  Article 2    Legal person units as referred to herein shall mean units with the following qualifications:

(1) Being established according to law, having their respective names, organizational framework and business premises, being capable of bearing civil liability independently;

(2) Possessing and using (or using with authorization) assets independently, bearing liabilities, and having the right to sign contracts with other units; and

(3) Having independent accounting, and being capable of compiling statement of assets and liabilities.

Legal person units shall consist of enterprise legal persons, institutional legal persons, legal persons of organs, legal persons of social organization, and other legal persons.

       第二条  本规定中的法人单位,是指具备以下条件的单位:

    (一)依法成立,有自己的名称、组织机构和场所,能够独立承担民事责任;

    (二)独立拥有和使用(或授权使用)资产,承担负债,有权与其他单位签订合同;

    (三)会计上独立核算,能够编制资产负债表。

    法人单位包括企业法人、事业单位法人、机关法人、社会团体法人和其他法人。

  Article 3    The enterprise legal persons shall mean enterprises that are registered with administrations of industry and commerce at various levels according to the Administrative Regulations of the People's Republic of China on Registration of Enterprise Legal Persons, and the Administrative Regulations of the People's Republic of China on Registration of Companies, and so on, draw the Business License for Enterprise Legal Person, and obtain the status of legal person.

Enterprise legal persons shall include:

(1) Companies; and

(2) Non-corporate system enterprise legal persons;

(4) Institutions held by party Committees and governments at various levels;

       第三条  企业法人是指依据《中华人民共和国企业法人登记管理条例》、《中华人民共和国公司登记管理条例》等,经各级工商行政管理机关登记注册,领取《企业法人营业执照》,取得法人资格的企业。

    企业法人包括:

    (一)公司;

    (二)非公司制企业法人。

  Article 4    Institution legal persons shall mean institutions that are registered with or recorded, according to Interim Regulations on Administration of Registration of Institution Legal Person, by the administrative department in charge of establishment of organizations of the State Council and the administrative departments in charge of establishment of organizations of the local people's governments at or above the county level, and possess qualifications of legal persons.

Institution legal persons shall include:

(1) Institutions directly under party committees and governments at various levels;

(2) Institutions held by institutions directly under the Party Central Committee or the State Council;

(3) Institutions held by the people's congresses, people's political consultative conferences, people's courts, people's procuratorates, democratic parties at various levels;

(5) Institutions held by social organizations that use financial outlay;

(6) Institutions held by state-owned enterprises and other organizations by using state-owned assets; and

(7) Other institutions that shall be registered with administrative departments in charge of registration at various levels according to the laws and relevant provisions.

Article 5    Legal persons of government organs shall mean Party committees and state organs at various levels.

Legal persons of government organs shall include:

(1) Committees of the Communist Party of China at or above the county level and their affiliated working departments;

(2) People's congresses at or above the county level;

(3) The people's governments at or above the county level and their affiliated working departments;

(4) People's political consultative conferences at or above the county level;

(5) People's courts and people's procuratorates at or above the county level;

(6) Committees of democratic parties at or above the county level; and

(7) Committees of CPC and people's governments of towns and townships, and subdistrict offices.

Article 6    Legal persons of social organization shall mean various social organizations that, according to the Administrative Regulations on Registration of Social Organization, are registered with or recorded by the department of civil affairs of the State Council and the departments of civil affairs of the local people's governments at or above the county level, obtain the Registration Certificate of Legal Person of Social Organization, and mass organizations that do not handle legal person registration according to law.

Legal persons of social organization shall include:

(1) Academic organizations: various academies and research societies, etc.;

(2) Trade organizations: various associations and chambers of commerce, etc.;

(3) Specialty organizations: promotion associations specialized in specialty business;

(4) United organizations: various leagues, sodalities (homecomings, and alumni associations, etc.);

(5) Foundations: various foundations; and

(6) Other mass organizations: labor unions, communist youth leagues, etc.

Article 7    Other legal persons shall mean other units that comply with conditions of legal persons other than enterprise legal persons, institution legal persons, legal persons of government organs, and legal persons of social organization.

They include:

(1) Rural residents' committees and urban residents' committees that are established upon approval according to the Organic Law of the People's Republic of China on Urban Residents' Committees and the Organic Law of the People's Republic of China on Rural Residents' Committees; and

(2) Civilian-run non-enterprise units that are approved by and registered with the department of civil affairs of the State Council and departments of civil affairs of the local people's governments at or above the county level according to the Interim Regulations on the Administration of Registration of Civilian-run Non-enterprise Units, and draw the Registration Certificate for Civilian-run Non-enterprise Unit (Legal Person).

Article 8    Institution legal persons, legal persons of social organization, and civilian-run non-enterprise legal persons shall not only include units that are registered with the corresponding administrative departments in charge of registration as provided by Article 4, Article 6, and Article 7 herein, but also include units that are established upon approval of other administrative departments according to the relevant laws and regulations and possess conditions for legal persons.

Article 9    Industrial activity units affiliated to legal person units as referred to herein shall mean units with the following qualifications:

(1) Engaging in a kind of or mainly in a kind of social economic activity in a premise;

(2) Organizing production, operation, or business activities relatively independently; and

(3) Being able to master business accounting materials such as income and expenditure.

Article 10    Industrial activity units shall be determined according to the following specific measures:

(1) Units that are approved to establish through legal procedures and cannot bear civil liability independently shall be determined as industrial activity units; They include: branches or operation units that are registered with administrations of industry and commerce at various levels and draw the Business License; branches of institutions and social organizations that are registered with or recorded by the administrative departments in charge of registration or that are established upon approval of the competent authorities at various levels according to the relevant laws and regulations.

(2) Internal units that are established within a legal person not through legal procedures and comply with Article 9 herein shall be determined as industrial activity units.

Article 11    Legal person units consist of industrial activity units, and industrial activity units shall be subject to management and control of legal person units.

A legal person unit, if being located in a premise and mainly engaging in one kind of social economic activity, shall be single-industry legal person. Single-industry legal person itself is an industrial activity unit.

A legal person unit that engages in various economic activities or is located in multiple premises shall be multiple-industry legal persons. A multiple-industry legal person consists of two or more industrial activity units.

Article 12    The right of interpretation of these Rules shall be vested in the Office of National General Investigation of Basic Units.

Article 13    These Rules shall take effect as of the promulgation date.

       第四条  事业单位法人是指依据《事业单位登记管理暂行条例》，经国务院机构编制管理机关和县级以上地方各级人民政府机构编制管理机关核准登记或备案，具备法人条件的事业单位。 

    事业单位法人包括： 

    (一)各级党委、政府直属事业单位； 

    (二)党中央、国务院直属事业单位举办的事业单位； 

    (三)各级人大、政协机关，人民法院、人民检察院和各民主党派机关举办的事业单位； 

    (四)各级党委部门和政府部门举办的事业单位； 

    (五)使用财政性经费的社会团体举办的事业单位； 

    (六)国有企业及其他组织利用国有资产举办的事业单位； 

    (七)依照法律或有关规定，应当由各级登记管理机关登记的其他事业单位。 

    第五条  机关法人是指各级政党机关和国家机关。 

    机关法人包括： 

    (一)县级以上各级中国共产党委员会及其所属各工作部门； 

    (二)县级以上各级人民代表大会机关； 

    (三)县级以上各级人民政府及其所属各工作部门； 

    (四)县级以上各级政治协商会议机关； 

    (五)县级以上各级人民法院、检察院机关； 

    (六)县级以上各民主党派机关； 

    (七)乡、镇中国共产党委员会和人民政府，以及街道办事处。 

    第六条  社会团体法人是指依据《社会团体登记管理条例》，经国务院民政部门和县级以上地方各级人民政府民政部门登记注册或备案，领取《社会团体法人登记证书》的各类社会团体；以及依法不需要办理法人登记的群众团体。 

    社会团体法人包括： 

    (一)学术性社团：各类学会、研究会等； 

    (二)行业性社团：各类协会、商会等； 

    (三)专业性社团：各类从事专业业务的促进会等； 

    (四)联合性社团：各类联合会、联谊会(同学会、校友会)等； 

    (五)基金会：各类基金会； 

    (六)其他群众团体：工会、共青团等。 

    第七条  其他法人是指除企业法人、事业单位法人、机关法人和社会团体法人以外的其他符合法人条件的单位。 

    其中包括： 

    (一)依据《中华人民共和国居民委员会组织法》和《中华人民共和国村民委员会组织法》批准设立的居民委员会和村民委员会； 

    (二)依据《民办非企业单位登记管理暂行条例》，经国务院民政部门和县级以上地方各级人民政府民政部门核准登记，领取《民办非企业单位(法人)登记证书》的民办非企业单位。 

    第八条  事业单位法人、社会团体法人和民办非企业法人除已在第四条、第六条和第七条规定的由相应登记主管部门登记注册的单位外，还包括由其他行政主管部门依据有关法律法规审批成立，且具备法人条件的单位。 

    第九条  本规定中法人单位所属的产业活动单位，是指具备以下条件的单位： 

    (一)在一个场所从事一种或主要从事一种社会经济活动； 

    (二)相对独立组织生产经营或业务活动； 

    (三)能够掌握收入和支出等业务核算资料。 

    第十条  产业活动单位按以下具体办法认定： 

    (一)经过法定程序批准建立的、不能独立承担民事责任的单位，认定为产业活动单位。包括：由各级工商行政管理机关核准登记，领取《营业执照》的分支机构或经营单位；由各级登记主管机关备案，或依据相关法律法规由各级主管部门批准建立的事业单位分支机构和社会团体分支机构； 

    (二)未经法定程序批准在法人内部建立的机构，符合本规定第九条的认定为产业活动单位。 

    第十一条  法人单位由产业活动单位组成，产业活动单位接受法人单位的管理和控制。 

    法人单位只位于一个场所并主要从事一种社会经济活动，称为单产业法人。单产业法人本身也是一个产业活动单位。 

    法人单位从事多种经济活动，或者位于多个地点，称为多产业法人。多产业法人由两个或两个以上产业活动单位组成。 

    第十二条  本规定由全国基本单位普查办公室负责解释。 

    第十三条  本规定自发布之日起实施。
