To the development and reform commissions of all provinces, autonomous regions, municipalities directly under the Central Government, specially designated cities in the State plan, and the Xinjiang Production and Construction Corps:

For the purpose of further implementing the State Council's basic principles of reforming administrative examination and approval system and accelerating change in the way the government functions, after research and discussion, the National Development and Reform Commission decides to authorize the development and reform commissions of all provinces, autonomous regions, municipalities directly under the Central Government, specially designated cities in the State plan, and the Xinjiang Production and Construction Corps (hereinafter referred to as the "provincial development and reform commissions") to perform certain responsibilities in the examination and approval of application report on borrowing funds from foreign governments loan projects. The relevant matters and requirements are hereby notified:

    各省、自治区、直辖市及计划单列市、新疆生产建设兵团发展改革委:

    为进一步贯彻落实国务院关于行政审批制度改革,以及加快政府职能转变的精神,经研究,决定将我委审批外国政府贷款项目资金申请报告的部分职能,委托给各省、自治区、直辖市及计划单列市、新疆生产建设兵团发展改革委(以下称“省级发展改革委”)履行。现就有关事项和要求通知如下:

1. Commencing from 1 January 2009, with respect to projects of provinces, autonomous regions, municipalities directly under the Central Government, specially designated cities in the State plan, and the Xinjiang Production and Construction Corps for borrowing USD10 million (or EURO8 million) and less loans from foreign governments (hereinafter referred as the "projects subject to authorized examination and approval", excluding Japanese government loan projects, projects of sovereign guarantee provided by the Export-Import Bank of the United States, and loan projects subject to the State's unified provision and repayment), the application report on borrowing funds from foreign government loan projects shall be subject to the examination and approval of relevant provincial development and reform commissions authorized by the National Development and Reform Commission of the place where business owners of the said projects are located. Application reports on other projects of borrowing funds from foreign government loan projects shall still be subject to the examination and approval of the National Development and Reform Commission.

       一、自2009年1月1日起,各省、自治区、直辖市及计划单列市、新疆生产建设兵团借用外国政府贷款1000万美元(或800万欧元)及以下的项目(日本政府贷款项目、美国进出口银行主权担保贷款项目,以及国家统还的项目除外。以下称“委托审批项目”),其借用外国政府贷款项目资金申请报告由国家发展改革委委托项目业主所在地的省级发展改革委审批。其余外国政府贷款项目资金申请报告仍由国家发展改革委审批。

2. All provincial development and reform commissions shall, according to the requirements set forth in the Interim Measures for the Administration of Loan Investment Projects of International Financial Organizations and Foreign Governments (Order No. 28 of the National Development and Reform Commission), the Notice of the General Office of the National Development and Reform Commission and the General Office of the Ministry of Finance on Printing and Distributing the "Work Rules and Procedures for the Preliminary Administration of Foreign Governments' Loan Projects (Trial)" (Fa Gai Ban Wai Zi [2006] No. 2259), the Notice of the General Office of the National Development and Reform Commission on Further Improving the Preliminary Work Related to Loans Provided by Foreign Governments and Strengthening the Administration Thereof (Fa Gai Ban Wai Zi [2008] No. 1969), and other relevant policies and regulations, conduct careful examination in terms of whether a project has gone through all pre-procedures completely and in compliance with relevant provisions, the depth of the first-phase work of a project, uses of the loan funds, and the fulfillment of relevant supporting funds. Projects that meet the requirements shall be approved. 

       二、各省级发展改革委要按照《国际金融组织和外国政府贷款投资项目管理暂行办法》(国家发展改革委令第28号)、《国家发展改革委办公厅、财政部办公厅关于印发<外国政府贷款项目前期管理工作规程(试行)>的通知》(发改办外资[2006]2259号)、《国家发展改革委办公厅关于进一步改进外国政府贷款前期工作及加强实施监管的通知》(发改办外资[2008]1969号)以及其他相关政策法规的要求,对项目履行各项前置手续的合规性、完备性,项目前期工作的深度,以及贷款资金用途、配套资金落实情况等进行认真审查,对符合要求的项目予以批复。

3. The provincial development and reform commissions shall forward the approval document (five copies) on the application report for project funds and the application report for project funds (two copies, including annex) to the Department of Foreign Capital and Overseas Investment of the National Development and Reform Commission (hereinafter referred to as the "Department of Foreign Investment") for record-filing. The Department of Foreign Investment shall review the approval document on application report for project funds forwarded for record-filing. If the forwarded approval document meets the requirements, the Department of Foreign Investment shall issue a Confirmation Letter on Review of the Authorized Examination and Approval of Application Report on Borrowing Funds from Foreign Governments Loan Projects (hereinafter referred to as the "Review Confirmation Letter". See Annex for the format of the letter) within ten working days as of the service of the said document. If the said document fails to meet the requirements, it shall be returned to the relevant provincial development and reform commission for re-examination. 

       三、省级发展改革委需将项目资金申请报告批复文件(5份)以及项目资金申请报告(含附件,2份),抄送国家发展改革委利用外资和境外投资司(以下称“外资司”)备案。外资司对抄送备案的项目资金申请报告批复进行复核,对符合要求的,将在文件送达后10个工作日内出具《外国政府贷款项目资金申请报告委托审批复核确认书》(以下称“复核确认书”,格式附后);对不符合要求的,退回省级发展改革委重新审批。

4. The approval document on application report for project funds issued by relevant provincial development and reform commissions together with the Review Confirmation Letter issued by the Department of Foreign Investment shall serve as the basis for completing the procedures for loan transfer agreement becoming effective, foreign debt registration, procurement bidding, and tax exemption. Projects subject to authorized examination and approval of which the approval document on application report for project funds fails to pass the review and confirmation by the Department of Foreign Investment shall not carry out any follow-up work, such as procurement bidding, signing project loan transfer agreement, etc.

       四、省级发展改革委对项目资金申请报告的批复文件连同外资司出具的复核确认书,是办理转贷生效、外债登记、采购招标以及免税手续的依据。项目资金申请报告批复未经外资司复核确认的委托审批项目,不得开展采购招标、签署项目转贷协议等后续工作。

5. The approval document on application report for project funds issued by provincial development and reform commissions shall include project total investment, scale, resources and use of foreign government loans, repayment for foreign loans and guarantee liability, and scale and resources of supporting funds, and shall clarify that the valid term of the approval document on application report for project funds shall be two years from the date on which the Department of Foreign Investment issues the Review Confirmation Letter.

       五、省级发展改革委对项目资金申请报告的批复应包括项目总投资,外国政府贷款规模、来源及主要用途,外债偿还及担保责任,配套资金规模及来源等内容,并明确项目资金申请报告批复的有效期为自外资司出具复核确认书之日起2年。

6. When issuing tax exemption confirmation letter for projects subject to authorized examination and approval, provincial development and reform commissions shall indicate the number of the approval document on application report for project funds and the number of the Review Confirmation Letter issued by the Department of Foreign Investment.

Provincial development and reform commissions shall, according to the requirements set forth in this Notice, strictly control relevant matters to ensure the quality of work related to the examination and approval of application report on borrowing funds from foreign government loan projects, and shall report the issues and problems encountered in the implementation to the National Development and Reform Commission in a timely manner. The National Development and Reform Commission shall provide guidance and conduct inspection on work related to the examination and approval of application report on project funds in due time and shall, in conjunction with local development and reform commissions, improve upon any work related to the administration of the examination and approval of application report on borrowing funds from foreign government loan projects.

       六、省级发展改革委在出具委托审批项目免税确认书时，应注明省级发展改革委对项目资金申请报告的批复文号，以及外资司出具的复核确认书文号。

    各省级发展改革委要按照本通知的要求，严格把关，确保外国政府贷款项目资金申请报告审批工作的质量，并将实施中情况和问题及时反馈国家发展改革委。国家发展改革委将适时对项目资金申请报告审批工作进行指导和检查，会同地方发展改革委共同做好外国政府贷款项目资金申请报告的审批管理工作。
