2. 明示的，常与implied连用，即express or implied明示的或默示的

The General Partner may, in its sole discretion from time to time independently of this Agreement offer co-investment opportunities to certain, but not necessarily all, Limited Partners and/or their Associates, who have expressed their interest to the General Partner to invest outside of their capacity as Limited Partners in the Partnership.

普通合伙人可以根据其完全自由裁量权，不受本协议约束，不时向某些但并不必要是所有向普通合伙人表明有兴趣以合伙企业有限合伙人以外的身份进行投资的有限合伙人和/或其关联方提供共同投资机会。
