Order No. 14 of the President of the People's Republic of China

The Decision of the Standing Committee of the National People's Congress on Revising the "Insurance Law of the People's Republic of China" and Other Four Laws, adopted at the 10th Session of the Standing Committee of the 12th National People's Congress of the People's Republic of China on August 31, 2014, is hereby promulgated and shall come into effect on the date of promulgation.

Decision of the Standing Committee of the National People's Congress on Revising the "Insurance Law of the People's Republic of China" and Other Four Laws

全国人民代表大会常务委员会关于修改《中华人民共和国保险法》等五部法律的决定

(Adopted at the 10th Session of the Standing Committee of the 12th National People's Congress on August 31, 2014)

The following decisions have been made at the 10th Session of the Standing Committee of the 12th National People's Congress:

  第十二届全国人民代表大会常务委员会第十次会议决定：

1. The following revisions shall be made to the Insurance Law of the People's Republic of China:

  一、对《中华人民共和国保险法》作出修改

(1) The wording in Article 82 that "falling under the circumstances prescribed by Article 147 of theCompany Law of the People's Republic of China" shall be revised to "falling under the circumstances prescribed by Article 146 of the Company Law of the People's Republic of China"; and

  (一)将第八十二条中的“有《中华人民共和国公司法》第一百四十七条规定的情形”修改为“有《中华人民共和国公司法》第一百四十六条规定的情形”。

(2) Article 85 shall be revised to read: "An insurance company shall engage professionals, and establish an actuarial reporting system and a compliance reporting system."

  (二)将第八十五条修改为:“保险公司应当聘用专业人员,建立精算报告制度和合规报告制度。”

2. The following revisions shall be made to the Securities Law of the People's Republic of China:

  二、对《中华人民共和国证券法》作出修改

(1) The wording "report to the securities regulatory authority of the State Council in advance" in Paragraph 1 of Article 89 shall be revised to "announce", and the wording "submit" in Item (8) of Paragraph 1 shall be revised to "announce".

  (一)将第八十九条第一款中的“事先向国务院证券监督管理机构报送”修改为“公告”,第一款第八项中的“报送”修改为“公告”。

Paragraph 2 of Article 89 shall be deleted;

  删去第二款。

(2) Paragraph 1 of Article 90 shall be deleted;

  (二)删去第九十条第一款。

(3) Article 91 shall be revised to read: "An acquirer shall not withdraw its acquisition offer within the acceptance period stipulated therein. Where its acquisition offer needs to be changed, the acquirer shall promptly issue an announcement to specify the changes.";

  (三)将第九十一条修改为:“在收购要约确定的承诺期限内,收购人不得撤销其收购要约。收购人需要变更收购要约的,必须及时公告,载明具体变更事项。”

(4) The wording in Article 108 and Paragraph 2 of Article 131 that "falling under the circumstances prescribed by Article 147 of the Company Law of the People's Republic of China" shall be revised to "falling under the circumstances prescribed by Article 146 of the Company Law of the People's Republic of China"; and

  (四)将第一百零八条、第一百三十一条第二款中的“有《中华人民共和国公司法》第一百四十七条规定的情形”修改为“有《中华人民共和国公司法》第一百四十六条规定的情形”。

(5) The wording "submit the report on the acquisition of a listed company" and "or change the acquisition offer without authorization" in Article 213 shall be deleted.

  (五)删去第二百一十三条中的“报送上市公司收购报告书”和“或者擅自变更收购要约”。

3. The following revisions shall be made to the Law of the People's Republic of China on Certified Public Accountants:

  三、对《中华人民共和国注册会计师法》作出修改

(1) Paragraph 1 of Article 25 shall be revised to read: "The establishment of accounting firms shall be approved by the finance departments of the people's governments of relevant provinces, autonomous regions and municipalities directly under the Central Government."; and

  (一)将第二十五条第一款修改为:“设立会计师事务所,由省、自治区、直辖市人民政府财政部门批准。”

(2) Article 44 shall be revised to read: "The principle of reciprocity shall apply where foreigners apply to sit for China national uniform examination for certified public accountants and apply for being registered as certified public accountants in China.

  (二)将第四十四条修改为:“外国人申请参加中国注册会计师全国统一考试和注册,按照互惠原则办理。

"Foreign accounting firms shall obtain the approval from the finance departments of the people's governments of relevant provinces, autonomous regions and municipalities directly under the Central Government if they need to handle relevant business in Mainland China on a temporary basis."

  “外国会计师事务所需要在中国境内临时办理有关业务的,须经有关的省、自治区、直辖市人民政府财政部门批准。”

4. The following revisions shall be made to the Government Procurement Law of the People's Republic of China:

  四、对《中华人民共和国政府采购法》作出修改

(1) The wording "whose qualifications are recognized by relevant departments of the State Council or relevant departments of provincial people's governments" in Paragraph 1 of Article 19 shall be revised to "other than centralized procurement agencies";

  (一)将第十九条第一款中的“经国务院有关部门或者省级人民政府有关部门认定资格的”修改为“集中采购机构以外的”。

(2) Item (3) of Article 71 shall be deleted; and

  (二)删去第七十一条第三项。

(3) The wording "[be] disqualified from relevant business pursuant to the law" in Article 78 shall be revised to "[be] prohibited from acting as an agent for government procurement business for one to three years".

  (三)将第七十八条中的“依法取消其进行相关业务的资格”修改为“在一至三年内禁止其代理政府采购业务”。

5. The following revision shall be made to the Meteorology Law of the People's Republic of China:

  五、对《中华人民共和国气象法》作出修改

Article 21 shall be revised to read: "The building of new construction projects, and the expansion and renovation of existing construction projects shall be carried out in a way that avoids damage to the meteorological observation environment. Where damage to the meteorological observation environment is genuinely unavoidable, the relevant project owner shall commence construction only after obtaining the consent of the competent meteorological department of the relevant province, autonomous region or municipality directly under the Central Government in advance, and after taking appropriate measures."

  将第二十一条修改为:“新建、扩建、改建建设工程,应当避免危害气象探测环境;确实无法避免的,建设单位应当事先征得省、自治区、直辖市气象主管机构的同意,并采取相应的措施后,方可建设。”

This Decision shall come into effect on the date of promulgation.

  本决定自公布之日起施行。

The Insurance Law of the People's Republic of China, the Securities Law of the People's Republic of China, the Law of the People's Republic of China on Certified Public Accountants, the Government Procurement Law of the People's Republic of China and the Meteorology Law of the People's Republic of China shall be revised pursuant to this Decision, and be promulgated anew.

  《中华人民共和国保险法》、《中华人民共和国证券法》、《中华人民共和国注册会计师法》、《中华人民共和国政府采购法》、《中华人民共和国气象法》根据本决定作相应修改,重新公布。
