To the commerce departments, foreign affairs offices, development and reform departments, finance departments, housing and urban-rural development departments, State-owned assets supervision and administration commissions and work safety administration departments of all provinces, autonomous regions, municipalities directly under the Central Government, specifically designated cities in the State plan and the Xinjiang Production and Construction Corps as well as all centrally-administered enterprises:
China's overseas contract works have been growing rapidly on an increasingly large scale in recent years. Overseas contract works were doing well in the recession of 2009, and made good progress. The Party Central Committee and the State Council had fully recognized the progress. Business continues to maintain sound development momentum this year.
After the Regulations on the Administration of Contracting Foreign Projects (Decree No. 527 of the State Council, hereinafter referred to as the "Regulations") became effective on September 1, 2008, the governmental departments at all levels and enterprises have diligently studied and implemented the Regulations, and enterprises have continuously improved the level of operation and management, strengthened regulated operation, actively performed social responsibility, coped calmly and worked actively in the face of financial crisis, initiatively adjusted operation strategies, thereby promoting the quick recovery of overseas contract works in the recession, continuing to maintain stable and relatively fast development, and making a positive contribution to the stabilization of foreign demand, the sustainment of economic growth and the promotion of employment.
At present, the domestic and international macroeconomic situations and the sound development of overseas contract works in recent years have created a more favorable and appropriate environment for further transforming the growth pattern of the business. Under the new situation, we are required to continuously improve the promotion and regulation of the business, enhance the scientific development of the business, ensure a proper balance between immediate and long-term interests, between scale and quality, and between speed and efficiency, shift the focus of the work onto the transformation of growth pattern, and continuously promote the sound and rapid development of the business through the comprehensive and in-depth implementation of the Regulations while continuing to deal with crises and maintain the stable and fast growth of the business.
For this purpose, the Ministry of Commerce, the Ministry of Foreign Affairs, the National Development and Reform Commission, the Ministry of Finance, the Ministry of Housing and Urban-Rural Development, the State-owned Assets Supervision and Administration Commission of the State Council and the State Administration of Work Safety (hereinafter referred to as "relevant departments") have decided to organize the commerce departments, foreign affairs offices, development and reform departments, finance departments, housing and urban-rural development departments, State-owned assets supervision and administration commissions, and work safety administration departments at the province level and specifically designated cities in the State plan and Chinese embassies (consulates) in foreign countries to conduct the special inspection of the implementation of the Regulations across the country during the period from May 1, 2010, to December 31, 2010, aiming at "promote the scientific development of the business, accelerate the transformation of growth pattern, enhance the level of operation and management and improve the promotion of the business". The following notice on relevant matters is hereby issued:
各省、自治区、直辖市、计划单列市及新疆生产建设兵团商务主管部门、外事办公室、发展改革主管部门、财政主管部门、住房城乡建设主管部门、国资委、安全生产监督管理部门,各中央企业:
近年来,我国对外承包工程快速发展,规模日益扩大。2009年,对外承包工程逆势而上,取得了很好的成绩,得到了党中央、国务院的充分肯定。今年以来,此项业务继续保持良好发展态势。
2008年9月1日,《对外承包工程管理条例》(国务院令第527号,以下简称《条例》)施行以来,各级政府部门、广大企业认真学习贯彻《条例》,企业不断提高经营管理水平,强化规范经营,积极履行社会责任,面对金融危机,沉着应对、积极拼搏,主动调整经营战略,推动对外承包工程在逆势中迅速企稳,继续保持较好较快发展,为稳外需、保增长、促就业做出了积极贡献。
当前,国内外宏观经济形势及对外承包工程近年来的稳健发展已为此项业务进一步转变增长方式营造了更加宽松和适宜的环境。新形势要求我们在继续应对危机,保持业务平稳较快发展的同时,通过更加全面和深入地贯彻《条例》,不断完善对业务的促进与规范,增强业务发展的科学性,更好地处理当前与长远,规模与质量,速度与效益的关系,将工作重心进一步向转变增长方式上转移,不断推动此项业务又好又快发展。
为此,商务部、外交部、发展改革委、财政部、住房城乡建设部、国资委、安全监管总局(以下统称有关部门)决定组织省级和计划单列市商务、外事、发展改革、财政、住房城乡建设、国资、安全监管主管部门和驻外使(领)馆,于2010年5月1日至2010年12月31日在全国范围内,以“推动业务科学发展、加快转变增长方式、强化规范经营、提高经营管理水平、完善业务促进”为目标,开展贯彻落实《条例》情况专项检查。现将有关事项通知如下:
1. Overall Goals
The overall goals of the special inspection are as follows: (i) further strengthen the publicity, training and implementation of the Regulations so that all enterprises and all the parties concerned could deepen their understanding of the Regulations, a programmatic document serving as legal support for the scientific development of the business and legal base for regulatory administration, enhance their knowledge of the Regulations' significance in regulating and promoting the development of overseas contract works, and give full play to the Regulations' guiding function in improving the level of operation and management of enterprises by enhancing comprehensive competitiveness, implementing branding strategies and developing international market; (ii) further strengthen and improve relevant enterprises' initiative and consciousness in working diligently to comprehend and implement the Regulations in an all-around way so that the enterprise could be familiar with the content of the Regulations by studying the Regulations from the very beginning to the end, diligently conduct the inspection against the content of the Regulations, initiatively rectify and eliminate errors and hidden troubles in the operation and management, further strengthen and regulate the operation, and improve the level of operation and management of enterprises; (iii) collect and sort out the difficulties and problems confronting the business development and enterprises, fully utilize the initiatives and creativity of all the departments, localities and parties concerned and concentrate efforts on formulating and improving the policies and measures for promoting the development of overseas contract works in accordance with the Regulations, and establish and improve the service system and the risk guarantee mechanism for the business; and (iv) shift the focus of the work onto the transformation of growth pattern, thereby improving the overall quality and technical content of the business, and strengthening the scientific and sustainable development of the business.
一、总体目标
通过专项检查,一是进一步加大对《条例》的宣传、培训和贯彻力度,使各企业和各有关方面进一步加深对《条例》作为业务科学发展法律支撑和规范管理法律依据的纲领性文件的理解,提高对《条例》在规范、促进对外承包工程发展方面所具有的重要意义的认识,充分发挥《条例》对提高企业经营管理水平,增强综合竞争力、实施品牌战略、开拓国际市场的指导作用;二是进一步增强和提高有关企业认真学习领会并全面贯彻落实《条例》的主动性和自觉性,通过原原本本地学习《条例》,熟悉《条例》内容,认真对照检查,自觉纠正和消除经营管理中的偏差和隐患,进一步强化规范经营,提高企业经营管理水平;三是汇总梳理业务发展和企业面临的困难和问题,充分发挥各部门、各地方及各有关方面的主动性和创造性,集中力量依据《条例》制定和完善促进对外承包工程发展的政策措施,建立、健全业务服务体系和风险保障体制;四是将工作重心进一步向转变增长方式上转移,提高业务整体水平和技术含量,增强业务发展的科学性和可持续性。
2. Contents of Inspection
The enterprises shall conduct the inspection over the implementation item by item against the provisions of the Regulations, focusing on: developing overseas contract works without any operation qualification; failing to complete the formalities for the bid or bid negotiation permit for any overseas project; failing to follow the mediation conducted by the trade organization concerned; failing to implement a project according to the schedule and quality assurance under the contract concerned; conducting the subcontracting or multi-tiered subcontracting of a project; failing to conclude a labor contract with the dispatched personnel; and failing to implement the responsibility for quality and production safety.
二、对照检查内容
企业应按照《条例》规定逐条对照检查贯彻落实情况,重点包括:未获得经营资格擅自开展对外承包工程;未办理项目投(议)标许可;不服从行业组织协调;未履行合同规定按期保质实施项目;转包或层层分包项目;未与派出人员订立劳动合同;未落实质量安全生产责任。
3. Method of Inspection
Centrally-administered enterprises shall conduct self-inspection under the supervision of relevant departments. Local enterprises shall conduct self-inspection under the supervision of the commerce department of the provinces and specifically designated cities in the State plan where the enterprises are registered. Chinese embassies (consulates) in foreign countries shall conduct the front-line inspection of domestic enterprises' contract works in the countries.
Relevant departments shall conduct random inspection over enterprises' self-inspection, local inspection, and the situation of overseas projects.
三、检查方式
中央企业在有关部门监督下开展自查。地方企业在注册地省级、计划单列市商务主管部门监督下自查。驻外使(领)馆对国内企业在驻在国开展承包工程情况进行一线检查。
有关部门对企业自查、地方检查、境外项目情况进行抽查。
4. Work Requirements
All the departments, localities and Chinese embassies (consulates) in foreign countries shall guide and urge enterprises to correctly understand the significance and purpose in conducting the special inspection. The governmental departments at all levels and enterprises shall set up working groups, designate contact persons, and effectively implement all the work; the governmental departments at all levels shall diligently sort out, classify and summarize the problems and weaknesses with enterprises' implementation of the Regulations, guide and urge enterprises to take effective measures to make rectifications within a specified time limit, and make policy recommendations in relation to the difficulties and problems confronting enterprises in developing the business. Enterprises that consciously implement the Regulations shall be commended. The enterprises that commit serious violation of laws or regulations and fail to make rectifications in a timely manner shall be subject to investigation and punishment.
Meanwhile, all the departments and localities shall adopt various forms to guide and utilize various media to actively publicize the Regulations and the achievements that enterprises have made in the implementation of the Regulations. A chamber of commerce for overseas contract works (hereinafter referred to as the "chamber of commerce") shall set up a department in charge of complaints and set a telephone line for handling complaints, mobilize non-governmental resources to participate in the supervision, and publicize the list of enterprises that are commended and punished.
All the local commerce departments and centrally-administered enterprises shall, prior to the 30th day of each month during the special inspection, submit the brief reports on the special inspection to the Ministry of Commerce and relevant departments with copies to the chambers of commerce, circulate a notice of the implementation and progress of all the work, and summarize successful experience and enterprises' initiative implementation of the Regulations and other information.
四、工作要求
各部门、地方、驻外使(领)馆要指导、督促企业正确认识开展专项检查的意义和目的。各级政府部门、企业要成立工作组,指定联系人,切实抓好各项工作的落实;各级政府部门对企业落实《条例》存在的问题和不足进行认真梳理、归纳、总结,指导、督促企业采取有效措施,限期整改;对于企业在开展业务过程中遇到的困难和问题提出政策建议。对于自觉贯彻落实《条例》的企业给予表彰;对存在严重违法违规行为又未及时整改的企业进行查处。
同时,各部门、地方要采取多种形式,引导、利用各种媒体积极宣传《条例》和企业贯彻落实《条例》取得的成果。对外承包工程商会要设立投诉部门和电话,调动社会力量参与监督;将受到表彰和处罚的企业名单向社会公布。
各地方商务主管部门、中央企业在专项检查期间每月30日前向商务部和有关部门报送专题工作简报,抄送承包商会,通报各项工作落实、进展情况,总结成功经验和企业自觉贯彻落实《条例》等情况。
5. Arrangement
(1) In-depth Study (May 2010)
The enterprises shall carry out the activities of studying the Regulations under the guidance and supervision of the governmental departments at all levels and Chinese embassies (consulates) in foreign countries. (For details of the Regulations, visit the Column of "Policies and Regulations" on the sub-website of the Department of Cooperation under www.mofcom.gov.cn)
(2) Improvement (June 2010 – November 2010)
An enterprise shall conduct the inspection over the problems with the implementation of the Regulations according to the provisions of the Regulations, conduct in-depth analysis on the causes thereof, formulate a rectification and reform plan, implement rectification and reform measures, make policy recommendations, and thus form a summing-up report. Prior to September 30, centrally-administered enterprises shall submit the summing-up reports to the chambers of commerce; local commerce departments shall sort out, on a consolidated basis, the summing-up reports submitted by local enterprises within the areas of their respective jurisdiction and inform the chambers of commerce of the same; the economic and commercial counselor's offices of Chinese embassies (consulates) in foreign countries shall inform the chambers of commerce of the consolidated summing-up reports of overseas enterprises with copies to the relevant local commerce departments.
Relevant departments and chambers of commerce shall set up working groups to conduct random inspection in enterprises, localities, and relevant countries, and commend and punish centrally-administered enterprises according to their respective functions and duties. Local commerce departments shall commend and punish local enterprises within the areas of their respective jurisdiction. The chambers of commerce shall be notified of information pertaining to commendation and punishment. The chambers of commerce shall publicize the list of enterprises that are commended and punished.
(3) Analysis and Summary (December 2010)
The chambers of commerce shall sort out, on a consolidated basis, the summing-up reports submitted by centrally-administered enterprises, local enterprises and overseas enterprises and the commendation and punishment of enterprises and then submit them to the Ministry of Commerce and relevant departments.
Local commerce departments shall formulate relevant regulatory, stimulative and supporting measures in accordance with the provisions of the Regulations and submit the same to the Ministry of Commerce and relevant departments.
The Ministry of Commerce shall, in conjunction with relevant departments, analyze and summarize the information pertaining to the special inspection, research relevant stimulative and supporting measures, and draft a final report to be submitted to the State Council.

五、具体安排
(一)深入学习阶段(2010年5月)
企业在各级政府部门和驻外使(领)馆指导、监督下,开展学习《条例》活动。(《条例》详见www.mofcom.gov.cn,合作司子站,政策规定)。
(二)完善提高阶段(2010年6月-2010年11月)
企业按照《条例》规定逐一对照检查落实过程中存在的问题,深入分析原因,制订整改方案,落实整改措施,提出政策建议,并形成总结报告。9月30日前,中央企业将总结报告报送承包商会;地方商务主管部门对本辖区地方企业总结报告进行梳理、汇总后通报承包商会;境外企业总结报告由驻在国使(领)馆(经商处)汇总后通报承包商会,抄送相关地方商务主管部门。
有关部门、承包商会组成工作组赴企业、地方、有关国家进行抽查,并按照各自职能分工对中央企业进行表彰、查处。地方商务主管部门对本辖区地方企业进行表彰、查处。有关表彰、查处情况通报承包商会。承包商会将受到表彰、查处的企业名单向社会公布。
(三)分析总结阶段(2010年12月)
承包商会对中央、地方、境外企业总结报告及对企业的表彰、查处情况进行梳理、汇总后报送商务部和有关部门。
地方商务主管部门按照《条例》规定制订相应的规范、促进和保障措施并报送商务部和有关部门。
商务部会同有关部门对专项检查情况进行分析总结,研究相应的促进和保障措施,起草总结报告报国务院。
