GUARANTY

Reference is hereby made to that certain Construction Agreement dated as of April 12, 1999 by and between Gilbane Building Company and NaviSite, Inc. ("Tenant") (the "Agreement"). Capitalized terms used herein and not otherwise defined shall have the respective meanings ascribed to such terms in the Agreement.

CMGI, Inc. ("Guarantor") hereby guarantees the payment and performance by Tenant of its obligations under the Agreement, subject to, and in accordance with, the terms and provisions thereof.

Notwithstanding anything to the contrary contained herein, this Guaranty and all of Guarantor's obligations and agreements hereunder and under the Agreement shall terminate and be of no further force or effect immediately upon the closing of the initial public offering of shares of common stock of Tenant pursuant to an effective registration statement under the Securities Act of 1933, as amended.
