Capital Contributions, (a) On the Funding Date relating to a closing at which a Limited Partner is admitted to the Partnership (each such closing, a "Closing"), such Limited Partner shall make a Capital Contribution to the Partnership in the amount set forth in its Subscription Agreement, wliich amount shall be used by the Partnership in connection with (i) the funding (pro rata based on the relative Capital Contribution amount of each Limited Partner admitted at the applicable Closing) of one or more purchases of the same Securities of the Company (including indirectly through a Holding Vehicle), (ii) the payment of such Limited Partner's share of the Transaction Expenses and reserves for Ongoing Operational Expenses, in each case as determined by the General Partner in its reasonable discretion, and Organizational Expenses (in each case, pro rata in accordance with such Partners Proportionate Interest), and (iii) the payment of the Management Fee due on such Funding Date in respect of such Limited Partner's Interest in the Partnership, as set forth in paragraph 6.02. In the event that the Partnership does not consummate an Investment in connection with a Closing (including any Closing that takes place after the Initial Closing Date), the General Partner shall cause the Partnership to return the Capital Contribution of each Partner that was admitted to or permitted to increase its Capital Contribution to the Partnership in connection with such Closing (less the amount of the Capital Contributions used to fund Transaction Expenses and/or Organizational Expenses).

In the case of an existing Limited Partner that, pursuant to paragraph 3.05(a), increases its Capital Contribution after the Initial Closing Date, such Limited Partner shall be subject to the provisions of paragraph 3.03(a) with respect to the amount of such increase as if newly admitted to the Partnership.

Capital Contributions

(a)Each of the Limited Partners shall make Capital Contributions to the Partnership in such amounts and at such times on or after the Initial Closing as the General Partner or the Investment Manager may require for all purposes of the Partnership including without limitation for the purpose of funding:

The General Partner shall ensure that not less than eight (8) Business Days written notice in accordance with clause 16.5 (Notices) is given to the Limited Partners requesting payment (each a "Drawdown Notice") and such notice shall, subject to any obligation of confidentiality, give reasonable details of the anticipated use of such funds and if a Drawdown Notice relates to a proposed Investment, also identify and briefly describe the nature of the proposed Investment and the business of the prospective Investee Company. No Drawdown Notice shall be served following the expiry of the Investment Period for the purpose of clause 4.1(a)(i), clause 4.1(a)(iii) or clause 4.1(a)(v) save for Investments permitted by clause 4.5(b). The Partners and the Investment Manager agree that Drawdown Notices may be issued by the Administrator as instructed by the General Partner or the Investment Manager.

During the Investment Period, the Limited Partners authorise the General Partner to make Drawdowns up to the amount of the aggregate Undrawn Commitments for one or more of the following purposes:
