Novation表示债的更新；是一个源自罗马法并引入普通法的概念，the substitution of a new obligation for an old one by mutual agreement between the parties, esp of one debtor or creditor for another 指用一项新的债取代一项已存在的债，使后者的效力得以消灭。其更新方式有三种：

１用新的债务人取代原来的债务人；

２用新的债权人取代原来的债权人；

３以新的债务内容，如用新合同（new contract）代替旧合同，取代原来的债务内容，而原债的当事人保持不变。
