风投，即风险投资（Venture Capital，VC），又译称为创业投资，主要是指向初创企业提供资金支持并取得该公司股份的一种融资方式。风险投资是私人股权投资的一种形式。

签订完投资意向书（letter of interest）之后，风投会做尽职调查(Due Diligence)。尽职调查所涉及的主要是以下信息：

1、财务信息调查(Financial Due Diligence，FDD)；

2、法律信息调查(Legal Due Diligence，LDD)；

3、业务信息调查(Business Due Diligence，BDD)；

4、人的信息调查(People Due Diligence，PDD)。

FDD就是说调查公司提供的财务报表是否真实。风投一般会选择一家会计师事务所，对账务进行审阅。就是在一个相对比较高的层次上，来验证公司的账务。

LDD就是要了解公司整个法律结构和法律风险。这特别重要，因为不少相关法律和政策做出了相关规定。

BDD不同的公司有不同的做法。有的是自己做，有的是雇外面的咨询公司做，还有的是两种情况都有。

PDD就是进行人的尽职调查。这个调查不结束是不会投资的。这种调查包括成长经历（life experience）、名声（reputation）、个人财务（personal Finance）、个人品质（personal quality），以及是否有犯罪记录（criminal record）、是否涉及诉讼、是否有大额债务等。

尽职调查的作用：

尽职调查可以让相关的机构深入了解企业，排查企业可能存在的经营风险和存在的瑕疵。同时，进一步了解企业的经营业绩和价值。
