Except as expressly permitted by this Agreement, neither the General Partner nor any of its Affiliates shall sell, transfer orconvey any Property to, or purchase any Property from, the Partnership,directly or indirectly, except pursuant to transactions that are, in the General Partner’s sole discretion, on terms that are fair and reasonable to the Partnership.

除本协议明确准许的情况之外，普通合伙人及其任何附属公司均不得直接或间接地向合伙企业出售、转让或出让任何财产，或向合伙企业购买任何财产，但依据普通合伙人自主决定的对合伙企业而言是公平合理的条款中的交易除外。

Except for the transfer to a LimitedPartner’s Affiliate of all or any portion of such Limited Partner’s Interest, no direct or indirect sale, transfer, conveyance or other encumbrance or disposition, including by way of aderivative instrument, (herein collectively called a "Transfer")of all or any portion of a Limited Partner's Interest may be made without theConsent of the General Partner.
