我国作为铜的消费大国,国内铜矿的产量远远无法满足需求,大部分需要从国外进口。海关总署最新数据显示,上半年中国进口铜矿砂及其精矿同比增长8.6%。庞大的进口需求也催生了巨大的翻译市场,特别是在铜精矿销售合同翻译这一方面。以下是部分铜精矿销售合同中有关付款条款的双语条款,供参考:

1. Payment/付款
1.1 All invoices or credit notes shall be in US Dollars and Cents and all payments shall be made in US Dollars and Cents.
所有发票或贷项凭据应以美元和美分计,所有付款也应以美元和美分支付。
1.2 Buyer shall open, in favor of Seller, through a bank acceptable to Seller in discretion, an irrevocable sight letter of credit (“L/C”) in USD for 100% of the provisional cargo value (allowing +/-10% variance in value and +/-10% variance in quantity), based upon pre-shipment weights and assays of payable metals at provisional prices which are the average of the ten (10) market days prior to the date of the pro-forma invoice issued for the purposes of opening the L/C.

1.3 The L/C shall be issued 10 days prior to the estimated shipment date. The L/C shall be advised through an international bank nominated by Seller, be available with any bank by negotiation and allow for multiple drawings. Such L/C shall be in form and substance acceptable to Seller. An L/C with any reference to, or clauses mentioning, sanction(s) is not allowed, if required by issuing bank, Buyer and Seller should negotiate in good faith to conclude a solution. All costs associated with the L/C arising at the opening bank shall be for Buyer’s account, while all costs outside the opening bank shall be for Seller’s account.
信用证应在预计装运日期前10天签发。信用证应通过卖方指定的国际银行通知,并可以在任何一家银行议付,并允许多次提款。此等信用证的形式和实质应为卖方接受。如果开证行要求,不允许信用证或相关条款提及制裁,则买卖双方应按诚信原则进行协商以达成解决方案。在开证行产生的与信用证有关的所有费用应由买方承担,而在开证行以外的所有费用应由卖方承担。

Payment shall be secured by way of an irrevocable documentary Letter of Credit (the "LC") obtained by Buyer and such UC shall be issued at sight in US$ without any deduction, withholding, offset or counterclaim whatsoever by means of a fully workable irrevocable letter of credit, to be opened by a bank and in a form fully acceptable to Seller covering I 00% of the cargo value based on Seller's proforma invoice value, based upon pre-shipment weights and assays of payable metals at provisional prices which are the average of the ten (10) market days prior to the date of the pro-fonna invoice, and allowing a tolerance of+/- l0% in both quantity and/or amount.
付款应以买方获得不可撤销的跟单信用证(“信用证”)进行,开立的此等信用证应为以美元计价的即期信用证,且没有通过由银行开立、格式为卖方完全可接受的完全可行且不可撤销信用证进行任何扣减、预扣、抵销或反索赔。此等信用证涉及价值为卖方形式发票中货物价值的100%,基于装运前重量和计价金属的化验结果,按暂定价格(即形式发票之日前十(10)个交易日的平均价格)开立,并且在数量和/或金额上允许+/- 10%的允差。
2.1.The letter of credit must be opened prior to the estimated shipment date (LC Opening Date). Time is of the essence for the opening of the letter of credit. The opening of the letter of credit shall be a condition precedent to the Seller's obligation to deliver the Concentrate. If a workable UC is not received by Seller's bank by that date, Seller may reserve the right but not the obligation to:
信用证必须在预计装运日期(信用证开立日期)前开立。时间对于信用证的开立至关重要。信用证的开立应是卖方履行交付铜精矿义务的先决条件。如果卖方银行未在该日之前收到可行信用证,则卖方可以保留权利但没有义务:
(a)Buyer shall credit Seller Rate from the LC Opening Date, as per above paragraph, until the date the Letter of Credit has been opened at the London Interbank Offered Rate (LIBOR) or the Replacement Benchmark Rate in accordance with clause PAYMENT for a 3-month period, as published in the Financial Times on the first Banking Day after the bill of lading date, plus 3.5% per annum.

(b)delay the shipment of the Material, until such time that a Letter of Credit has been opened which is in fom1 and substance fully acceptable to Seller; and

(c)simply to cancel the shipment. Any losses (including but not limited to: Rate for late UC opening / possible demurrage and detention costs / all costs for re-selling and dive11ing the material to another port and Buyer/Seller's storage costs) arising out of Buyer's failure to open a workable L/C in time shall be for Buyer’s account.
直接取消装运。因买方未能及时开立可行信用证而造成的任何损失(包括但不限于:延迟开立信用证产生的利息/可能的滞期费和滞留费/将材料再出售和运送到另一个港口产生的所有费用以及买方/卖方的仓储费用)应由买方承担。
2.2.The letter of credit shall be available and negotiable at the counters of any bank and shall provide that:

a)Third party documents are acceptable;

b)Underdrawings and multiple drawings are allowed;

d)Spelling mistakes and other typographical errors not affecting unit price, quantity and/or amount are acceptable;

All charges relating to the opening of the letter of credit shall be for the Buyer's account. Any charges from the advising/negotiating bank shall be for the Seller's accoun.t

Provisional Payment/临时付款
95% of the provisional value of the Concentrate, based on the bill of lading wet weight, provisional moisture, provisional assays and the metal quotations averaged over the 5 consecutive LME market days prior to the bill of lading date, shall be paid against the presentation of the following documents under the letter of credit:
应在提交信用证项下的下列单据后,支付根据提单湿重、临时含水量、临时化验结果和提单日期前五个连续伦敦金属交易所交易日内的平均金属报价得出的铜精矿临时价值的95%:
1.Full set Bill of lading indicating "freight prepaid" made out to order and blank endorsed with notify party to be advised by Buyer timely prior to shipment;

2.Provisional Invoice issued by Seller;
卖方开具的临时发票;
3.Provisional weight and moisture certificate issued by Seller:

卖方出具的临时化验证明;
5.Insurance certificate;
保险凭证;
6.Certificate of origin issued by Seller.
卖方出具的原产地证。
Final Payment/最终付款
Final payment shall be made under the letter of credit against presentation of Seller's final invoice.
应在卖方提交最终发票后,进行信用证下的最终付款。
a)Seller's final invoice;
卖方的最终发票;
b)Seller's final weight and moisture certificate;
b)卖方的最终重量和含水量证明;
c)Seller's final assay certificate for copper, silver and gold.

If Seller is indebted to Buyer by reason of having received provisional payment in excess of the amount of the final invoice, this difference shall be re-paid by Seller to Buyer by telegraphic transfer within 5 Business Days of final weights, final assays and final prices being known.
如果卖方因收到超出最终发票金额的临时付款而欠付买方,则卖方应在获悉最终重量、最终化验结果和最终价格后5个营业日内以电汇方式向买方偿还此等差额。
If the value of the Concentrate, based on the latest known information and prices for the 3rd Wednesday of the quotational period month, exceeds l05% of the value of the documentary letter of credit in Seller 's sole opinion, Seller shall have the right to ask for an increase in the value of the letter of credit. In the event Seller does not receive the amendment increasing the documentary letter of credit amount within 5 Business Days of Seller issuing such request, or if there is 印1 increase in the prices for 3rd Wednesday of the quotational period month such that the value of the Concentrate is equivalent to the l 00% value of the letter of credit, whichever is earlier, then Seller shall have the right to immediately price, without any prior consent from Buyer, any un-priced metal under this contract. In the event of Seller pricing , Seller shall promptly confirm details of the pricing(s) in writing to Buyer.
如果基于最新已知信息和报价期月份内第3个周三的价格,铜精矿的价值超过卖方单方面认为的信用证最高价值的105%,则卖方有权要求增加信用证价值。如果卖方在其发出此类请求后5个营业日内未收到增加跟单信用证金额的修订书,或者报价期月份内第3个周三的价格上涨,以致铜精矿的价值等于信用证价值的100%(以较早者为准),则卖方应有权对本合同项下任何未定价的金属进行定价,无需事先获得买方的同意。卖方进行定价的,应立即以书面形式向买方确认定价详情。
