商事登记（commercial registration）：

亦称商业登记，是指当事人为设立、变更或终止商主体资格，依法向登记机关提出登记申请,登记机关依据法定条件和程序将其设立、变更或终止的事实记载于登记簿册,并予以公示的法律行为。

设立登记（registration of establishment）：

是指商主体的创设人为设立商主体而向登记机关提出申请，经登记机关核准，并发给营业执照的法律行为。
