Undue Influence：unfair pressure which may invalidate a contract.

不正当影响是英国衡平法本着公平正义的原则发展而来的一种确认合同效力的制度。所谓不当影响是指一方当事人利用其优越的地位、意志或思想在精神或其他方面向另一方当事人施加非正当的间接压力，从而迫使对方签订合同的一种非法行为。施加这种影响的人，往往滥用自己的被信任地位，或者利用对方薄弱的意志、懦弱的体质以及精神上的痛楚而影响对方当事人进行自主的扶择，以至迫使对方与自己签订在自由状态下绝不会同意的合同。这种影响虽然没有完全摧毁对方的自由意志，但却压制了对方的自由意志，使之产生了一定程度的偏向。在此情形下，当事人所表达出来的意思就偏离了其内心的效果意思，形成了有瑕疵的意思表示。不正当影响不同于胁迫。
