issue是普通意义上的发行，比如issue of shares发行股票，但是不能用于"公开发行"，而offering可用于公开发行，比如initial public offering首次公开发行。二者的区别可通过查询英文网站得出结论，public offering这样的搭配很容易查到，但是却没有public issue这样的表达。

Without prejudice to the generality of Article 7, the Directors may, in their absolute discretion and without approval of the existing Members, provide, out of the unissued Shares, for series of preferred shares to be issued by the Company. 

在不限制第7条一般性规定的情况下，董事可以在未经现有股东批准的情况下，酌情决定由公司从未发行股份中，发行系列优先股。

All of the Company’s issued and outstanding Ordinary Shares and all the Company’s underlying outstanding options are subject to (i) a right of first refusal in favor of the Company upon any proposed transfer (other than transfers for estate planning purposes); and (ii) a lock-up or market standoff agreement of not less than 180 days following the Company’s initial public offering pursuant to a registration statement filed with the SEC under the Securities Act. 

公司的全部已发行并流通的普通股份以及公司的全部优先流通期权均受限于：(i)在任何拟议转让（不包括为产业规划目的之转让）时，有利于公司的优先购买权；以及 (ii)公司按照在《证券法》下向SEC备案的登记声明，首次公开发行后，不少于180天的锁定或市场僵局约定。
