履行合同，我们常见的表达有perform a contract, fulfill a contract等，在很多译文中，我们发现这两种表达并没有作出严格区分，其实二者在履行不同的合同义务时，其用法是有区别的。

perform的法律含义是：to do what one party is obliged to do by a contract;

fulfill的法律含义是：to do everything which is promised in a contract.

perform强调过程；fulfill强调结果，这与fulfill本身的含义有关

因此，如果泛指各方在合同中的责任和义务的履行，则用perform；如果指合同一方履行其在合同项下对其规定的义务，则用fulfill。

The parties hereto acknowledge that, notwithstanding any other provision of this Agreement, the General Partner, on its own behalf and/or on behalf of the Partnership, without any act, Consent or approval of any Limited Partner, may from time to time enter into, deliver and perform other written agreements with one or more Limited Partners (the "Side Letters") establishing rights under, or supplementing or altering the terms of, this Agreement and/or the Subscription Agreements with respect to one or more Limited Partners.

At the Closing, the Warrantors shall deliver to the Investors a compliance certificate, dated the Closing Date, signed by each of the Warrantors certifying that the conditions specified in Sections 6 have been fulfilled and stating that there shall have been no Material Adverse Effect in the business, affairs, prospects, operations, properties, assets or condition of the Group Entities since the Statement Date.

交割时,担保人应向投资者交付一份由每位担保人签署的、日期为交割日的合规证明书,证明第6条中规定的条件已经得以履行,并说明自报表之日，不存在对集团实体业务、事务、前景、经营、资产或状况的重大不利影响。
