情态动词的用法是英语语法中最容易产生问题的领域之一，shall在法律英语中的词义不同于普通英语中的词义。在法律英语中，shall在普通英语中第一、二人称的用法所具有的强烈的义务性含义，借用到了第三人称中来使用，主要表示“指示性”“施为性”含义和行使权利的“义务和“责任”

《兰登书屋法律词典》对shall的法律释义包括以下3项:

1.在特指法规或司法解释中表示命令、必要性和强制性(expressing mandate, necessity or compulsion, especially in statutory or judicial directives).

2.表示决心、肯定、强调(expressing determination，certainty and emphasis).

3.表示计划、意愿与预期(expressing futurity，especially plan,intention or expectation)。

Shall也因为其丰富的含义，容易在法律文书中产生一些歧义，所以翻译时，一定要结合上下文语境。现有英语法律和合同条文的主句成分中的shall，在汉语中有很多种译法。通常被译成“须”“应”，有时被译成“应当”，也有时译成“要”“将”“可”，还有被译成“必须”，甚至被完全忽略不译的。

例: The Chief justice of the Court of Final Appeal and the Chief Judge of the High Court of the Hong Kong Special Administrative Region shall be Chinese citizens who are permanent residents of the Region. In addition to the procedure prescribed in Articles 88 and 89of this law, the appointment and removal of judges of the Court of the Hong Kong Special Administrative Region shall be made by the Chief Executive with the endorsement of the Legislative Council of the Region and reported to the Standing Committee of the National People's Congress for the record.

译文:香港特别行政区终审法院和高等法院的首席法官，应由在外国无居留权的香港特别行政区永久性居民中的中国居民担任，除本法第88条和第89条规定的程式外，香港特别行政区终审法院和高等法院首席法官的任命和免职，还须由行政长官征得立法会同意，并报全国人民代表大会常务委员会备案。

例:...the election or recall of chief procurators of people's procuratorates shall be reported to the chief procurators of the people's procuratorates at the next higher level for submission to the standing committees of the people's congresses at the corresponding level for approval.

译文:……选出或罢免人民检察长，须报上级人民检察院检察长提请该级人民代表大会常务委员会批准

例:Shipment: The Date of the Bill of Lading shall be accepted as a conclusive evidence of the date of shipment.

译文:付运:提货单的日期须被承认为付运日期的确实证据

例:One who instigates others to commit a crime shall be punished according to the role he plays in the joint crime. One who instigates a person under the age of eighteen to commit a crime shall be given a heavier punishment.

译文:教唆他人犯罪的，应当按照他在共同犯罪中起的作用处罚。教唆不满18岁的人犯罪的，应当从重处罚。

州长应从委员会提名的3人名单中找人填补空缺。

这是否意味着州长应去找人填补空缺，并且应该从委员会提名的3个人中进行挑选?还是意味着州长并不是一定要去填补空缺,但如果他要填补的话,就只能指定一个由委员会提名的人?

The Commissioner to be appointed shall be a resident of Canada

将被任命的专员应是加拿大居民。

这是否意味着要从加拿大居民中进行选择,而不管他在被任命之后选择居住何处?还是要求他在被任命为专员之后仍保持加拿大居民身份?对此可能有两种解释,一是“-个人没有资格被任命为专员,除非他是加拿大居民。”而另一可能性则是“一个人没有资格被任命为专员或继续担任这一职务,除非他是加拿大居民。”
