一份完整的英文合同主要有四个部分构成，即标题（Title）、序言（Recitals）、主文条款（Terms and condition）、结尾或签署（Execution）。

英文合同的序言（Recitals）部分在一般情况下包括了Introduction（开篇部分）、Whereas clause（背景或鉴于条款部分）、Transitional Clause（过渡条款）这三个部分。

Introduction部分交代该合同签约的背景、合同双方的身份、合同签订的日期与地点等信息。

This agreement is made and entered into in (place) as of the date(DD)(MM(YY) by and between British XXX Corporation, a company incorporated and existing under the law of England,whose principal place of business is at the London (hereinafter referred to as“A”)

China XXX International Chemical CO., LTD, a company incorporated and existing under the law of the People’s Republic of China, whose registered office is at No xxx Road Beijing China(hereinafter referred to as“B”)

American XXX Co.Ltd., a company incorporated and existing under NEW YOUK Law, having its headquarters domiciled in NEW YORK (hereinafter referred to as“Ｃ”)

1. made and entered into是英文合同中的常见表达，也属于合同表达中的并列词，即意思相近的词并列使用，译为“签订”。

2. a company incorporated and existing under the law of England,whose principal place of business is at the London (hereinafter referred to as“A”)...是签约主体及其注册和营业地情况。这些情况可以识别签约主体所属国家，以判断其民事法律行为能力。

Whereas clause，即“鉴于条款”，主要叙述当事人之间对于某项事实和背景的共同认识。实践中，有的“鉴于条款”对合同目的讲得非常清楚，但主文条款却含糊不清。如果二者发生争议，通常应以“鉴于条款”叙述的为准。

WHEREAS, ABC Corporation is the owner of development projects relating to certain products, including, but not limited to the abbreviated new drug applications which have been filed and/or approved, as more specifically set forth below; and...

1. Whereas是“鉴于条款”的由来，没有特殊的含义，译为“鉴于”。

2. “including，but not limited to”是英文合同中的常见表述，意为“包括但不限于”。

3. “as more specifically set forth below”也是英文合同中常见的正式表述，意为“详见下文”。

整句话可译为“鉴于ABC为某些确定的产品的开发项目（这些项目包括但不限于已被登记或批准的简化新药之应用）的所有人（详见下文）；...”

Transitional Clause（过渡条款）即英文合同中的“NOW, THEREFORE...”引出的表述。一般而言该部分的表述比较固定，下面是一个典型的过渡条款：

“NOW, THEREFORE, in consideration of the foregoing, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto covenant and agree as follows:”

1. “NOW，THEREFORE……”不需要翻译，也有一些译者会直译为“因此”。

2. “in consideration of the foregoing”是过渡条款中常用的表述，意为“鉴于前述事实”。

3. “for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged，”是普通法中常用的表述，意为“及其他已足额收讫之有效并有价之约因”。

因此，上述条款可译为“鉴于前述事实及其他已足额收讫之有效并有价的约因，各方在此达成一致并立约如下：”
