合同中，resolution通常有两层含义：

（1）董事会等决议 ，如board resolution；

（2）纠纷等解决，如dispute resolution。

1董事会等决议

If at any time the share capital is divided into different classes or series of shares, the rights attaching to any class or series may, subject to these Articles, be varied or abrogated with the consent in writing of theholders of a majority of the issued shares of that class or series or with the sanction of a Special Resolution passed at a general meeting of the holders of the shares of that class or series.

任何时候若股本被分割为不同类别或系列的股份，则任何类别或系列股份上附有的权利，在遵守本章程规定的前提下，经该类别或系列已发行股份的过半数持有人书面同意或该类别或系列股份持有人的股东大会通过的特别决议，可以予以变更或取消。

2纠纷等解决

Any dispute arising out of or relating to this Agreement orits subject matter shall be referred to and finally resolved by arbitration. The parties shall duly and punctually perform their obligations hereunder pending issuance of the arbitration award.

任何由本协议及其标的物引起的或相关的争议应提交仲裁并最终由仲裁机构裁决。仲裁裁决未决时，缔约方仍旧应按时合理的履行本协议项下的义务。
