The Seller is the sole record and beneficial owner of the Purchased Equity Interest which is free and clear of any and all Encumbrances whatsoever and with no restrictions on the rights of record and beneficial ownership pertaining thereto. The Seller has the sole and absolute authority to transfer the Purchased Shares to the Purchaser pursuant to this Agreement.
