withhold，含义很多，但出现在英文合同中，通常具有两层含义：

(1)代扣，这层含义通常出现在《股权转让协议中》，个人股权转让代扣代缴个税，企业股权转让，代扣代缴印花税；

(2)拒绝

1.代扣，常见搭配withhold tax（代扣税款），若是withholding，就翻译为“预提”，如withholding tax(预提税)。

例句一：

Each Group Company (a) has timely filed all Tax Returns that are required to have been filed by it with any Governmental Authority, (b) has timely paid all Taxes owed by it which are due and payable and withheld and remitted to the appropriate Governmental Authority all Taxes which it is obligated to withholdand remit from amounts owing to any employee, consultant, independent contractor, creditor, customer or third party.

例句二：

The General Partner agrees that it will not unreasonably withhold its consent for a Change of Control if the Limited Partner provides a at least 10 Business Day prior written notice of such Change of Control to the General Partner.

普通合伙人同意，如果有限合伙人于至少10个营业日向其提供该等控制权变更的事先书面同意，其不会不合理地拒绝同意该等控制权变更。
