NON-WAIVER OF RIGHTS不弃权

No failure or delay by any Shareholder in exercising any right, power or remedy under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise of the same preclude any further exercise thereof or the exercise of any other right, power or remedy.

任何股东未能行使或迟延行使本协议项下任何权利、权力或补救措施，不应被视为对此类权利、权力或补救措施的放弃，任何对此类权利、权力或补救措施的单次或部分行使也不应妨碍对此类权利、权力或补救措施的任何进一步行使或对其它任何权利、权力或补救措施的行使。

Remedies and Waivers救济和弃权

(a) No delay or omission by anyparty to this Agreement in exercising any right, power or remedy provided by law or under this Agreement shall:

本协议任何一方延迟或未行使法律规定或本协议项下的任何权利、权力或救济的，不得：

(i)  affect that right, power orremedy; or

影响该权利、权力或救济；或

(ii)  operate as a waiver of it.

构成放弃该权利、权力或救济。

(b)  The exercise or partial exercise of any right, power or remedy provided by law or under this Agreement shall not preclude any other or further exercise of it or the exercise of anyother right, power or remedy.

行使或部分行使法律或本协议项下的任何权利、权力或救济不妨碍对该权利、权力或救济的任何其他行使或进一步行使，或对任何其他权利、权力或救济的行使。

(c) The rights, powers and remedies provided in this Agreement are cumulative and not exclusive of any rights, powers and remedies provided by law.

本协议规定的权利、权力或救济均为累积性，不包括法律规定的任何权利、权力或救济。
