在法律文本中经常出现另一方，今天就来看一下如何用英语准确地表达另一方的含义：

1.The other party，other指其它的，另外的，the other party即对一方来说的另一方，即对方；另一方，含义比较宽泛。

例如：

Neither party shall be deemed in default hereunder, nor shall it hold the other party responsible for, any cessation, interruption or delay in the performance of its obligations hereunder (excluding payment obligations) due to earthquake, flood, fire, storm, natural disaster, act of God, war, terrorism, armed conflict, labor strike, lockout, boycott or other similar events beyond the reasonable control of such party, provided that the party relying upon this Section 17: (i) gives prompt written notice thereof; and (ii) takes all steps reasonably necessary to mitigate the effects of the force majeure event; provided further, that in the event a force majeure event extends for a period in excess of thirty (30) days in the aggregate, either party may immediately terminate this Agreement upon written notice.

出现下列情况时，各方均不应被认为违约，也不应要求另一方承担责任：任一方遭受地震、洪水、火灾、暴风雨、自然灾难、天灾、战争、恐怖主义、武装斗争、工人罢工、停工、抵制或其他超过此方合理控制能力之外之类似事件，而导致其停止、中断或延迟履行本协议义务（支付义务除外），但前提是援引本条款（第17条）的此方(i)就此迅速发出书面通知；且(ii)采取所有必要合理之措施以减轻不可抗力事件之影响；更进一步，假设不可抗力事件持续之时间总计超过30天期限，则各方均可在书面通知后立即终止本协议。

2.counterparty指（合同或金融交易中）对方；合约对方；交易对方，该词的英文释义为A counterparty is the other party that participates in a financial transaction, and every transaction must have a counterparty in order for the transaction to go through. More specifically, every buyer of an asset must be paired up with a seller who is willing to sell and vice versa. For example, the counterparty to an option buyer would be an option writer. For any complete trade, several counterparties may be involved (for instance a buy of 1,000 shares is filled by ten sellers of 100 shares each).

例如：

You agree, confirm and acknowledge that we accept no liability for the accuracy or correctness of any information, whether in the relevant specifications, descriptions, prospectus, offering or constitution documents or otherwise, obtained or originated from third parties (including the issuer or counterparty of any of the Structured Product) which may be provided to you.

贵方同意、承认及确认，本行毋须对从第三方（包括但不限于任何结构性产品的发行机构或交易对方）处获得或发放并提供予阁下的结构性产品的规格、描述、招募书、发售或组成文件或其他文件的准确性及正确性承担任何责任。 

3.The opposite party，由opposite可知该词表达的是相互对立的双方，因此该词多用在诉讼中，表示“诉讼对方”，该词的英文释义为“opposite party means a person who answers complaint or claim; or a party against whom relief is sought in a commercial dispute;”

例如：

Without prejudice to the generality of paragraph (1), the Court may exercise its power under that paragraph to allow a statement to be given in evidence at the trial or hearing of a cause or matter if a refusal to exercise that power might oblige the party desiring to give the statement in evidence to call as a witness at the trial or hearing an opposite party or a person who is or was at the material time the servant or agent of an opposite party.

在以不损害第(1)款的概括性为原则下，如法庭拒绝行使其根据该款具有的权力，可能会令意欲在一宗讼案或事宜审讯或聆讯时提出一项陈述作为证据的一方，不得不在该审讯或聆讯进行时传召对立一方或现时或在关键时间是对立一方的受僱人或代理人的人作为证人，则法庭可行使该项权力，容许该项陈述在该审讯或聆讯进行时提出作为证据。
