Restrictions on Voting and Dividend Rights.  You will not be entitled to vote or receive dividends paid on the unvested portion of the Restricted Shares. With respect to any vested portion of the Restricted Shares, you will be entitled to vote and receive dividends paid onthem after the Company has entered your name in the Company’s register of members (the “Register of Members”) as the registered holder of such shares.
