The execution and performance of this Agreement by the Seller and the consummation of the transactions contemplated hereby does not and will not (i) violate, conflict with or result in any breach of the Organizational Documents of the Company; (ii) conflict with, or result in the breach of, constitute a default under, result in the termination, cancellation or acceleration (whether after the giving of notice or the lapse of time, or both) of any right or obligation of the Company under any Material Contract; or (iii) violate or result in a breach of or constitute a default under any Applicable Laws.

卖方对本协议的签署和履行，以及对本协议预期交易的完成，无论是现在还是将来均不会：(i) 违背、抵触或者导致违反公司的组织文件；(ii) 抵触或者导致违反任何重要合同，构成任何重要合同下的违约，导致公司在任何重要合同下的任何权利或义务终止、取消或加速（无论是提供通知还是失效或者两者兼有之后）；或者 (iii)违背或导致违反任何适用法律，或者构成任何适用法律下的违约。

To the extent that an Award terminates, expires, or lapses for any reason, any Shares subject to the Award shall again be available for the grant of an Award pursuant to the Plan. 

如果奖励终止、到期或因为任何原因失效，用于奖励的股份可以根据计划再奖励给他人。
