英文协议中常常在同一个段落中出现既有hereof又有thereof的情形，通常hereof所指代的内容就是“本协议”，比较容易识别，而thereof有可能指代前述提及的具体内容，也有可能指代前述提及的某个协议。

In the event that any action is instituted by an Indemnitee under this Agreement or under any liability insurance policies maintained by the Company to enforce or interpret any of the terms hereof or thereof, such Indemnitee shall be entitled to be paid all Expenses actually and reasonably incurred by such Indemnitee with respect to such action if such Indemnitee is ultimately successful in such action.

如果任何受偿人基于本协议或公司所购买的责任保险而启动诉讼以执行或解释本协议或保单的任何条款，在该受偿人最终胜诉的情况下，受偿人有权让公司支付其在诉讼中所实际并合理发生的所有费用。

None of the execution and delivery by the Seller of this Agreement and/or the Transaction Documents, the consummation of the transactions contemplated hereby or thereby, or compliance by the Seller with any of the provisions hereof or thereof will conflict with, or result in any violation of or default under, or give rise to a right of termination or cancellation under, any provision of ......, except in the case of clauses (ii), (iii) and (iv), such conflicts, violations, defaults, terminations or cancellations that would not have amaterial adverse effect.

转让方未依据本协议或/及交易文件执行和交付，或转让方作出与本协议或交易文件的任何条款有冲突的承诺或因任何违法或违约引起本协议项下权利终止或撤销的，其中可能违反任何条款包括......，在(2), (3) 和 (4)条中冲突、违反、违约、终止或撤销不会产生重大不利影响法规的除外。
