If the Borrower uses any part of the Loan for a purpose other than as contemplated in Clause 3 (Purpose), interest will accrue on the misappropriated amount from and including the date of such misappropriation up to the date of actual payment, both before, on and after judgment at a rate which is 123 per cent. of the Interest Rate.

The Borrower shall, subject to applicable laws and regulations and if requested by a Finance Party, pay and indemnify that Finance Party against any cost, loss or liability that Finance Party incurs in relation to all stamp duty, stamp duty land tax, registration or other similar Tax payable in respect of any Finance Document, except for any such Tax payable in connection with entering into a Transfer Certificate or Assignment Agreement.

Save in the case of decisions stipulated to be a matter for any other Lender or group of Lenders under the relevant Finance Document and unless a contrary indication appears in a Finance Document, any instructions given to the Facility Agent or the Security Agent by the Majority Lenders shall override any conflicting instructions given by any other Parties and will be binding on all Finance Parties.
