"PBT" means the consolidated profit before tax of the Group Companies, asderived from the annual audited consolidated Financial Statements of the Group Companies for the relevant period as prepared in accordance with XXX Accounting Policies. For the avoidance of doubt, PBT shall include:

(i)   profits derived from revenues arising from clients referred to the Group Companies by any member of the XXX Group or the Buyer; and

(ii) any interest expenses incurred by the Group Companies in connection with any loans provided by any member of the XXX Group or the Buyer.

税前利润是指集团公司的合并税前利润，源自根据XXX会计政策编制的集团公司相关期间的年度经审计合并财务报表。为避免疑义，税前利润应当包括：

(i)  从XXX集团任何成员或买方提供给集团公司的客户的收入产生的利润；以及

Execution of and compliance with the Transaction Documents are not subject to any prior authorization, approval or consent, of any nature whatsoever, derived from any clause or provision from any understanding or agreement in which the Sellers and/or AAA Companies are parties or pursuant to any law, proceeding, court order or any other reason, which have not been duly attained.
