对于这些术语，美国、英国、加拿大等地的用法有一定差异。

1、Articles of association

在美国，articles of association（在许多州也称为articles of incorporation）为公司的“组织大纲”或“公司简章”，一般是指组建公司时向有关政府当局提交的公司简章，通常只包括公司名称、公司营业期限、经营目的、股份数额、股票种类、董事姓名地址等内容。

英文释义

Basic instrument filed with the appropriate governmental agency on the incorporation of a business. It sets forth the purposes of the corporation, its duration, the right and liabilities of the shareholders and directors, classes of stock, etc.

在英国及加拿大等地，articles of association则指含公司章程细则或内部管理规则。

Articles of association or U.S. articles of incorporation, document which regulates the way in which a company’s affairs are managed.

2、By-laws / Articles of amendment

在公司被批准成立后，公司内部管理等许多具体事项则由by-laws或articles of amendment予以规定。

在美国，by-laws和articles of amendment即等同“公司章程细则”或“公司内部管理规章”。

英文释义

A rule of administrative provision adopted by an association or corporation for its internal governance. Corporate bylaws are usually enacted apart from the articles of association.

在英国或加拿大等地，articles of amendment指“更改公司体制之规章”。

memorandum of association则等同组建公司时向有关部门提交的公司简章。

4、Certificate of incorporation

在美国有些州，也用Certificate of incorporation指公司章程(in some states, same as articles of association.)，但其多用于不发行股票的公益公司或互济公司。

a document issued by a state authority(usually the secretary of state)granting a corporation its legal existence and the right to function as a corporation.

5、Charter

charter（也称为corporate charter）也可用作指章程，它和articles of association的区别在于它是指经君主或立法机关特许成立（未作为公司登记注册）的公司的章程，如英国原先的“东印度公司（East India Company）的章程等。

A certificate of incorporation or other documents issued by the state granting corporate status to an entity; document from the Crown establishing a town or a corporation or a university or a company.

6、Constitution

constitution指社团、政党、工会、公司等组织所制定的组织原则、宗旨和规章制度；有时，社团、大学的章程也可称“charter”，公司的章程称“memorandum and articles of association”。

英文释义

A written instrument embodying the rules of a political or social organization.

在我国，一般公司的章程是将公司组织大纲或简章和章程细则（或内部管理规章）合并组成的一个文件，统称为“公司章程”。

按美式英语，我国的“公司章程”的准确翻译应为“Articles of association & By-laws”。

按英式英语，其应为“Memorandum of association & Articles of association”。
