Broker
n.经纪人;中间人;代理人
一种商业代理人,作为货物买卖的代理人,其业务是撮合买卖双方当事人达成协议,或者受托于买主一方为其寻找卖主,或者受托于卖主一方为其寻找买主。因此所得的报酬称为佣金,一般按照所售货物价款的一定比例计算,但其并不占有这些货物或货物产权文书。经纪人对合同不承担个人责任,但保险经纪人例外,后者通常可以自己的名义起诉要求支付保险费。其与代销商[ factor]不同,前者通常以委托人的名义签订合同,后者则既可以委托人名义也可以自己的名义签订合同;前者只是当事人之间的协调谈判者,不占有或控制合同项下的货物,后者则可以占有或控制货物。经纪人的业务范围可以是动产、不动产或服务,而且针对不同的对象可分成各种专业经纪人,例如房地产经纪人[ real estate broker]、股票经纪人[ stockbroker]、保险经纪人[ insurance broker]和海运经纪人[ shipbroker]。(commission merchant; factor)
