Broker

n．经纪人；中间人；代理人

一种商业代理人，作为货物买卖的代理人，其业务是撮合买卖双方当事人达成协议，或者受托于买主一方为其寻找卖主，或者受托于卖主一方为其寻找买主。因此所得的报酬称为佣金，一般按照所售货物价款的一定比例计算，但其并不占有这些货物或货物产权文书。经纪人对合同不承担个人责任，但保险经纪人例外，后者通常可以自己的名义起诉要求支付保险费。其与代销商［ factor］不同，前者通常以委托人的名义签订合同，后者则既可以委托人名义也可以自己的名义签订合同；前者只是当事人之间的协调谈判者，不占有或控制合同项下的货物，后者则可以占有或控制货物。经纪人的业务范围可以是动产、不动产或服务，而且针对不同的对象可分成各种专业经纪人，例如房地产经纪人［ real estate broker］、股票经纪人［ stockbroker］、保险经纪人［ insurance broker］和海运经纪人［ shipbroker］。(commission merchant; factor)
