公司是大家日常生活中常见的一个词。走在大街上我们经常看到某某有限责任公司、某某有限公司、某某股份有限公司等等，那么这些公司的英文表达都一样吗？今天，小编就带大家学习关于“公司”的法律英语词义辨析。

Company/Corporation/Firm

以上三个单词均有“公司”的含义。

Company

n.

公司;企业。

指数人为了共同目标特别是为营利而设立的一种联合组织，有独特的组织形式、经营管理方式和责任承担方式。其重要特征是具有法人地位，不因公司成员的变化而影响其存在。

英国《公司法》[ Companies Act]规定了三种基本的公司种类:

①股份有限公司[ company limited by shares]，股东对公司承担提供资产的责任，但以其根据公司章程认购的股份中可能尚未缴清的股金为限，如果其已全部付足股金，则对公司债务不承担责任。这种公司以营利为目的，是最普通的公司形式。

②保证有限公司[ company limited by guarantee]，股东的责任以其已在公司章程中作出的保证在公司清算时向公司承担提供资产的数额为限。该公司通常并不需要营业资本，因为其创立并非出于营利目的，而是为了社会或慈善、宗教、艺术等目的。

③无限公司[unlimited company]，股东对公司债务承担无限责任，该种公司形式并不常见。在美国泛指任何企业，不论它是独资企业[sole proprietorship]，还是合伙企业[partnership]或公司[corporation]。在普通法中，corporation指一切具有法人资格的团体。而ompany既可表示合伙企业又可指非法人的人合团体。股份公司[incorporated company]即corporation的含义则是 company现代的惯常用法。

英文释义：

1. A corporation-or,less commonly,an association,partnership,or union-that carries on a commercial or industrial enterprise.

2. A corporation partnership,association,joint-stock company,trust fund,or organized group of persons, whether incorporated or not, and (in an official capacity)any receiver trustee in bankruptcy, or similar official, or liquidating agent, for any of the foregoing.

Corporation

n.

①法人。该词的最初含义是指法人，即在法律上被认为是单一法律实体的、由个人组成的团体或系列某一职位持有人。

为了与自然人[ natural person]相区别，法人有时又被称为“拟制的人＂[artificial person]、“法律上的人＂[juristic person]或“团体人＂[corporate person]。

法人与组成法人的所有个人在法律上的区别是，它有自身的法律人格，可以以自己的名义提起诉讼与被诉、拥有财产、进行交易、承担责任。

在英国，最早被承认为法人的是市镇、大学与教职。在15世纪，法人与组成法人的成员开始被认为是相互独立的。在16世纪末到17世纪初，一些商业企业开始被创设为法人形式，例如，东印度公司[ East India Company]、皇家非洲公司[Royal African Company]与哈得逊河湾公司[ Hudson＇s Bay Company]即是通过特许状而成立的法人。

在英国法中，法人分为集合法人[ corporation aggregate]与独体法人[corporation sole]两类。

②公司。在美国，该词通常在此义项上被使用，即指根据法律授权而可以以独立于股东的人格实施行为，并可以永续存在的一个实体(通常是商业实体)。

在英国，该词多被用以指“市政法人”[ municipal corporation]，即从事民用业务的市政当局。英国对应于“公司”义项者通常用 "company ＂。

英文释义：

因此就Campany和Corporation的最大区别来说，《公司法》在英国采用的是Company Law 的说法，而美国是Corporation Law.

Firm

n.

①商行。非法人商务团体。两人或多人的合伙。

②(全体)合伙的成员。

英文释义：

1. The title under which one or more persons conduct business jointly.

2. The association by which persons are united for business purposes.

一般来说，会计师事务所、律师事务所等“事务所”，采用的都是Firm来进行表达。
