在英语法律文件中，notwithstanding的意思相当于in spite of（prep.），表示尽管、即使；或者nevertheless（adv.），表示仍然。该词属于法律文件中的一个常用词，因其比although更为正式，所以在法律文件中更为常见。

Notwithstanding作介词用时，应置于要引导的让步状语前。

这里补充一个notwithstanding的固定搭配——Notwithstanding the verdict，等同于Judgment notwithstanding the verdict（JNOV），或者non obstante verdicto，属于美国法术语，指的是“迳为判决”。

何谓“迳为判决”？

迳为判决，是指美国法院的民事案件中，法官推翻陪审团判决并推翻或修正陪审团认定(verdict)的情况。

在民事案件中，迳为判决允许法官修改或替代那些没有法律根据的判决，但是败诉律师请求的迳为判决只有在很少情况下会被法官接受。通常只有在赔偿金额明显过高、极为不合理或者完全不为法律支持时，迳为判决才会被接受。

Notwithstanding anything contained in paragraph (A) of this Bye-law no fraction of any share shall be allotted on exercise of the subscription rights and so that whether any (and if so what) fraction of a share arises should be determined according to the terms and conditions of the warrants.
