5.Utilisation提款

5.1Delivery of a Utilisation Request提交提款请求书

The Borrower may utilise a Facility by delivery to the Agent of a duly completed Utilisation Request by way of electronic mail to AAA.HK@AA.com (or any electronic mail address to be designated by the Agent) not later than the Specified Time.

借款人可在指定时间前，通过向AAA.HK@AA.com(或代理行指定的其他电子邮箱)发送电子邮件的方式，向代理行提交填妥的提款请求书，对贷款额度进行提款。

5.2Completion of a Utilisation Request完成提款请求书

Each Utilisation Request is irrevocable and will not be regarded as having been duly completed unless:

it identifies the Facility under which the Loan is to be made;

5.3Currency and amount

货币及数额

The currency specified in a Utilisation Request must be Hong Kong dollars.

提款请求书指定的货币须为港元。

The amount of the proposed Loan must be an amount which is not more than the Available Facility and which is a minimum of HK$80,000,000 or, if less, the Available Facility.

拟议的贷款数额不得超过可提取信贷额，且最低为80,000,000港元，或如可提取信贷额低于上述最低金额，则拟议的贷款数额必须为可提取信贷额。

5.4Lenders' participation贷款人的参贷额

If the conditions set out in Clause 4 (Conditions of Utilisation) and Clauses 5.1 (Delivery of a Utilisation Request) to 5.3 (Currency and amount) have been met, each Lender shall make its participation in each Loan available by the Utilisation Date through its Facility Office.

如上文第4条(提款的条件)以及第5.1条(提交提款请求书)至第5.3条(货币及数额)规定的条件已获满足，各贷款人须通过其贷款办事处在每项贷款的提款日前提供其在该项贷款中的参贷额。

The amount of each Lender's participation in each Loan will be equal to the proportion borne by its Available Commitment to the Available Facility immediately prior to making the Loan.

The Agent shall notify each Lender of the amount of each Loan and the amount of its participation in that Loan.

5.5Cancellation of Available Facility撤销可提取信贷额

The Commitments which, at that time, are unutilised shall be immediately cancelled at 5pm on the last day of the Availability Period applicable to those Commitments.

在承贷额适用的提款期的最后一天下午5时整，届时所有尚未提取的该等承贷额应立即被撤销。

5.Utilisation提款

5.1Delivery of a Utilisation Request提款要求书的提交

(i)it identifies the Facility to be utilised;

5.3Currency and amount

(a)The currency specified in a Utilisation Request must be RMB.

(b)The amount of the proposed Loan must be a minimum of [**] for Facility A and [**] for Facility B or in either case, if less, the Available Facility.

拟提取贷款的数额须为信贷安排A的最低数额[**]或信贷安排B的最低数额[**]，或（如较低）在任一情况下，为可提取信贷额。

5.4Disbursement of Facility A Loan信贷安排A贷款发放

(a)Unless otherwise provided in this Agreement, disbursement of the proceeds of a Facility A Loan shall follow the provisions of this Clause 5.4.

除非本协议另有规定，否则信贷安排A贷款的发放应遵守第5.4条的规定。

(b)Any disbursement of a Utilisation of Facility A shall follow:

信贷安排A提款额的发放应遵守以下规定：

(i)(in the case of a disbursement in an amount exceeding RMB[**]) the Disbursement by the Facility Agent as detailed below; or

（如发放额超过人民币[**]）由贷款代理行支付（详见下文）；或

(ii)(in any other case) the Disbursement by the Borrower as detailed below.

(c)For the purpose of this Clause 5.4, "Disbursement by the Facility Agent" means that, if the Facility Agent (acting on the instruction of the Majority Facility A Lenders) has received the following documents [**] Business Days before the proposed Utilisation Date and is satisfied that the relevant payment under the transaction has become due and conforms to the purpose of the Facility A after verifying the relevant transaction materials, the Facility Agent will disburse the proceeds of the Facility A Loan to the Loan Disbursement Account on the proposed Utilisation Date and forthwith on the same day immediately transfer such proceeds to the Borrower's counterparties under the relevant transaction pursuant to payment instruction(s) from the Borrower:

就第5.4条而言，「贷款代理行支付」指，若贷款代理行（根据多数信贷安排A贷款人的指示行事）在拟定的提款日期前[**]个营业日收到下列文件，并在核实相关交易材料后，确认交易项下的相关款项已到期，且与信贷安排A的贷款用途相符，则贷款代理行将在拟定的提款日期将信贷安排A贷款发放至贷款发放账户，并在同一天立即根据借款人的付款指示，将该款项转账给相关交易项下借款人的交易对手：

(i)certified true copies of the transaction materials (including without limitation contracts and invoices in relation to the payment(s) to be made with the proceeds of the Facility A Loan) evidencing the payment requirement(s) to be funded by such proceeds; and

(ii)originals of the instruction(s) to the Facility Agent for payment of the proceeds to relevant third party counterparties.

(d)For the purpose of this Clause 5.4, "Disbursement by the Borrower" means that, upon receipt of the Utilisation Request from the Borrower, the Facility Agent will disburse the proceeds of the Facility A Loan to the Loan Disbursement Account. The Borrower may then pay such proceeds to third parties by itself. The Borrower shall upon request provide the Facility Agent with evidences and supporting documents in relation to the use of such loan proceeds under the Disbursement by the Borrower.

就第5.4条而言，「借款人支付」指在收到借款人的提款要求书后，贷款代理行将把信贷安排A贷款发放至贷款发放账户。借款人可自行将该贷款支付给第三方。一经要求，借款人应向贷款代理行提供证据和证明文件，证明根据借款人支付规定发放的贷款的使用情况。

(e)Except where the Disbursement by the Borrower is adopted, the Borrower hereby undertakes to the Facility Agent as follows:

除非采用借款人支付的规定，否则借款人特此向贷款代理行承诺如下：

(i)as the payment obligor under the relevant transaction, the Borrower shall be solely liable for the appropriateness and/or correctness of each payment made by the Facility Agent with the Borrower's authorisation. The Facility Agent's examination of transaction materials and its payment in reliance thereon will not release or mitigate such liability of the Borrower;

作为相关交易项下的付款债务人，借款人应单独确保贷款代理行经借款人授权而支付的每笔款项的适当性和/或正确性。贷款代理行审查交易材料并依据交易材料进行付款的行为不会免除或减轻借款人的此类责任；

(ii)the Borrower shall not instruct the Facility Agent to pay the proceeds of any Facility A Loan to any of its accounts opened with any other bank except where the Borrower's payment must be paid through such account opened with another bank and the Borrower provides documentation satisfactory to the Facility Agent to assure the Facility Agent that the disbursement of the proceeds to such other bank's account will not breach the applicable regulatory requirements on the usage of proceeds; and

借款人不得指示贷款代理行将任何信贷安排A贷款的款项支付给其在任何其他银行开立的账户，除非借款人必须通过在其他银行开立的账户付款，且借款人须提供符合贷款代理行要求的文件，以向贷款代理行保证，将款项发放至其在其他银行开立的账户不会违反适用的款项用途监管要求；及

(iii)the Borrower shall not divide any single Utilisation of Facility A or payment into multiple smaller Utilisations or payments with the view of circumventing the threshold amount of Disbursement by the Facility Agent set out in paragraph (b) above.

借款人不得为规避上文第(b)段规定的贷款代理行支付的阈值金额，而将单笔信贷安排A提款额分成较小金额多次提款或支付。

(f)The Borrower acknowledges that, without prejudice to the Facility Agent's other rights under this Agreement, the Facility Agent (acting on the instruction of the Majority Facility A Lenders) may review and revise the threshold amount for the Disbursement by the Bank and/or request any Utilisation of Facility A which would have been disbursed in accordance with the Disbursement by the Borrower to be disbursed in accordance with the Disbursement by the Bank instead upon occurrence of any of the following events:

借款人承认，在不损害贷款代理行在本协议项下其他权利的前提下，贷款代理行（根据多数信贷安排A贷款人的指示行事）可审查和修改银行支付阈值金额和/或在发生以下任何事件时，要求将本应按照借款人支付规定发放的信贷安排A提款额改为按照银行支付规定发放：

(i)the Borrower divides any single Utilisation of Facility A or payment into multiple smaller Utilisations or payments with the view of circumventing the threshold amount of Disbursement by the Facility Agent set out in paragraph (b) above;

为规避上文第(b)段规定的贷款代理行支付的阈值金额，借款人将单笔信贷安排A提款额分成较小金额多次提款或支付；

(ii)the Borrower fails to, upon request, provide the Facility Agent with evidences and supporting documents in relation to the use of the loan proceeds under the Disbursement by the Borrower; or

借款人未按要求向贷款代理行提供证据和证明文件，证明根据借款人支付规定发放的贷款的使用情况；或

(iii)the Borrower fails to use the proceeds of any Facility A Loan for the purpose set out in this Agreement or any other abnormal situation occurs in relation to application of the proceeds of any Facility A Loan.

借款人未将任何信贷安排A贷款用于本协议规定的目的，或发生任何其他信贷安排A贷款异常使用情况。

5.5Lenders' participation

贷款人的参与

(a)If the conditions set out in Clause 4 (Conditions of Utilisation) and Clauses 5.1 (Delivery of a Utilisation Request) to 5.4 (Disbursement of Facility A Loan) have been met, each Lender shall make its participation in each Loan available by the Utilisation Date through its Facility Office.

如第4条（提款条件）及第5.1条（提款要求书的提交）至第5.4条（信贷安排A贷款发放）所列条件已获满足，各贷款人须通过其贷款办事处在提款日期或之前将其在每笔贷款的参与份额提供备用。

(b)The amount of each Lender's participation in each Loan will be equal to the proportion borne by its Available Commitment to the Available Facility immediately prior to making the Loan.

各贷款人在每笔贷款中的参与份额相等于紧接该笔贷款提供前其可提取承贷额占可提取信贷额的比例。

(c)The Facility Agent shall notify each Lender of the amount of each Loan and the amount of its participation in that Loan by the Specified Time.

5.6Cancellation of Available Facility可提取信贷额的取消

(a)The Facility A Commitments which, at that time, are unutilised shall be immediately cancelled at 5 p.m. on the last day of the Availability Period for Facility A.

当时未获取用的信贷安排A承贷额在信贷安排A提款期最后一日下午五时正即时取消。

(b)The Facility B Commitments which, at that time, are unutilised shall be immediately cancelled at 5 p.m. on the last day of the Availability Period for Facility B.
