Calls during the Investment Period

投资期间，有限合伙人授权普通合伙人为以下一项或多项目的在未支取承诺的总额内提款：

During the Investment Period, the LimitedPartners authorise the General Partnerto make Drawdownsup to the amount of the aggregate Undrawn Commitments for one ormore of the following purposes:

(a) 允许基金按投资指南或本协议所许可的方式获得投资；和/或

to permit acquisitions ofInvestments by the Fund in accordance withthe Investment Guidelines or as otherwise permitted under this Agreement; and/or

(b)   允许支付基金的费用、管理费、承担义务或其他责任，或设立可能发生的该等费用、管理费、义务和责任的合适准备金。

to permit the payment of theExpenses, Management Fees, obligations andother liabilities of the Fund or theestablishment of appropriate reserves for such Expenses, Management Fees,obligations and liabilities as they may arise.

投资期间后的出资要求

Calls after the Investment Period

在投资期间过后直至期限结束前的任何时间，有限合伙人授权普通合伙人为以下一项或多项目的在未支取承诺的总额内提款：At any time after the Investment Period anduntil the end of the Term, the Limited Partners authorise the General Partnerto make Drawdowns up to the amount of the aggregate Undrawn Commitments for oneor more of the following purposes:

(a) 完成基金在投资期间结束前已获投资委员会批准的投资；和/或

 to complete Investments inrespect of which the Fund has obtained Investment Committee’s approval, priorto the end of the Investment Period; and/or

(b) 对现有投资或投资公司进行后续投资；和/或

to make Follow-On Investmentsin existing Investments or Portfolio Companies ; and/or

(c)  按照法律要求支付款项；和/或

to pay any amounts as required by law; and/or

(d)  支付或提存基金的费用、管理费以及其他义务和责任的款项。

to pay or be reserved forpayment of Expenses, Management Fees and other obligations and liabilities of the Fund.
