Capital Contributions条款是有限合伙协议（Limited Partnership Agreement）中的核心条款，规定了有限合伙人在合伙企业中的出资方式。

                       Capital Contributions出资额

Except as otherwise provided in Section 2 or elsewhere in this Agreement, the Capital Contributionsof the Limited Partners shall be paid in amounts determined pursuant to theterms of Section 2(d) subject to the following terms andconditions:

除第2条或本协议的其他内容另有规定之外，有限合伙人的出资额应在不违反下列条款和条件的情况下，以根据第2(d)条的条款确定的数额予以支付：

(a)   Timing of Drawdown Notices; Use of Drawdowns. The General Partner shall notify each Partner with a written notice ofeach Capital Contribution (a “Drawdown Notice”) at least 8 BusinessDays prior to the date on which such Capital Contribution is due and payable(the “Drawdown Date”). Each Capital Contribution may be used for anypurpose authorized or contemplated by this Agreement.

出资通知的时间安排；出资的使用。普通合伙人应在出资额到期须付的日期（“出资日期”）之前至少提前8个工作日发送各项出资额的书面通知（“出资通知”）告知每个合伙人。各项出资额可用于本协议授权的或本协议项下的任何目的。

(b)  Contents of Drawdown Notices. The Drawdown Notice shallspecify, to the knowledge of the General Partner as of the date thereof, theamount of such Drawdown that will be used by the Fund to make PortfolioInvestments or pay Fund Expenses and/or Organizational Expenses. In the case of a Drawdown Notice requestingCapital Contributions to fund a Portfolio Investment, the relevant DrawdownNotice may include a description of such Portfolio Investment or such otherinformation as the General Partner determines is appropriate.

出资通知的内容。据普通合伙人在出具出资通知之日所知，出资通知应列明基金将用于进行组合投资或支付基金费用和/或组织费用的出资数额。若发送出资通知，请求作出出资额以资助组合投资，则相关出资通知可包括该组合投资的说明或普通合伙人认为适当的其他信息。

(c)  Revised Drawdown Notices. NotwithstandingSection 2(a), if the actual Capital Contribution to be paid by a Partnerchanges after delivering of a Drawdown Notice, the General Partner shall issuea revised Drawdown Notice to the Partners. Such Partners shall pay any additional Capital Contribution therebyrequired no later than the Drawdown Date specified in such revised DrawdownNotice.

修改后的出资通知。尽管存在第2(a)条的规定，若拟由合伙人支付的实际出资额在交付出资通知之后发生变更，普通合伙人应向合伙人发送修改后的出资通知。该等合伙人应在修改后的出资通知所规定的出资日期之前支付修改后的出资通知要求支付的任何附加出资额。

(d)  Calculation of EachPartner’s Share of a Drawdown. Each Partner shall pay the CapitalContributions determined in accordance with the provisions of thisSection 2(d) by wire transfer in U.S. dollars in immediatelyavailable funds to the account specified in the Drawdown Notice.  

计算每个合伙人分摊的出资。每个合伙人应通过以美元向出资通知规定的账户电汇立即可用资金的方式支付根据第2(d)条的规定确定的出资额。
