exclusive，我们都知道，含义是“排他性的”，但含义虽然如此，出现在不同的合同文件中，与不同的词搭配，其译法却是不同的：

(1)专属，如exclusive right专属权，exclusive jurisdiction专属管辖权；

(2)排他性的，如exclusive license排他性许可，exclusive possession排他性占有，non-exclusive非排他性的等；

(3)独家，如exclusive agency独家代理，exclusive agent独家代理商

1.专属

Any disputes arising out of or in connection with this guarantee shall be submitted to the exclusive jurisdiction of Chinese courts.

任何由本函产生或与本函有关的争议应当提交至具有专属管辖权的中国法院。

2.排他性的

卖方拥有合法销售本合同标的物的全部政府许可、生产和/或使用许可和/或授权，对其所销售的标的物拥有完全的排他性所有权和/或知识产权。卖方对本合同标的物的销售不会损害任何第三方的合法权益和社会公共利益。

The Seller has all the government permits to sell legitimately the subject of the Contract, the permits and/or authorization to manufacture and/or use the subject of the Contract, and has the full and exclusive ownership and/or intellectual property of the subject sold by it. The sale of the subject by the Seller will not infringe the legal interests of any third party or the social public interests.
