(1)Share-based Compensation股权薪酬(来自某公司向美国证券交易会提交的Form 20-F)

 

Awards Granted to Employees授予员工的奖励

 

We grant employee share options to eligible employees and accounts for these share based awards in accordance with ASC 718 Compensation—Stock Compensation.

公司向符合条件的员工授予员工股票期权,并依照《会计准则汇编第718号——薪酬:股权薪酬》对这些股权奖励进行会计处理。

 

Employees’ share-based awards are measured at the grant date fair value of the awards and recognized as expenses a) immediately at grant date if no vesting conditions are required; or b) using the straight-line vesting method over the requisite service period, which is the vesting period. To the extent the required vesting conditions are not met, resulting in the forfeiture of the share-based awards, previously recognized compensation expense relating to those awards are reversed.

授予员工的股权奖励在授予日按奖励的公允价值计量,并在(a)授予日立即确认为费用(如未规定解锁条件);或(b)在要求的服务期(即解锁期)内采用直线法分摊,计入当期费用。如未满足规定的解锁条件,导致股权奖励被收回,则转回此前确认的相关薪酬费用。

 

We determined, with the assistance of an independent third-party valuation firm, the fair value of the stock options granted to employees. The Black Scholes option pricing model was applied in determining the estimated fair value of the options granted to employees.

Awards Granted to Non-Employees授予非员工的奖励

 

We have accounted for equity instruments issued to non-employees in accordance with the provisions of ASC 505, Equitybased payments to non-employees. All transactions in which goods or services are received in exchange for equity instruments are accounted for based on the fair value of the consideration received or the fair value of the equity instrument issued, whichever is more reliably measurable. As there is no performance commitment associated with the equity instrument issued to non-employees, we re-measure the awards using the then-current fair value at each reporting date until the measurement date, generally when the services are completed and awards are vested, and attribute the changes in those fair values over the service period by the straightline method.

公司依照《会计准则汇编第505号——支付给非员工的股权薪酬》,对发行给非员工的权益性工具进行会计处理。以收到的货物或服务交换权益性工具的所有交易根据所收到对价或所发行权益性工具的公允价值计量(以两者中可以更可靠计量的为准)。由于不存在与发行给非员工的权益性工具相关的履约承诺,公司在计量日(通常是服务完成和奖励解锁之日)之前的每个报告日,根据当时的公允价值重新计量这些奖励,并采用直线法在服务期内分摊公允价值的变动。

 

(2)Share-based compensation benefits股份酬金福利(腾讯年报)

 

The Group operates a number of share-based compensation plans (including share option schemes and share award schemes), under which the Group receives services from employees and other qualifying participants as consideration for equity instruments (including share options and awarded shares) of the Group. The fair value of the employee services and other qualifying participants’ services received inexchange for the grant of equity instruments of the Group is recognised as an expense over the vesting period, i.e. the period over which all of the specified vesting conditions are to be satisfied and credited to equity.

本集团经营若干股份酬金计划(包括购股权计划及股份奖励计划),据此本集团得到僱员及其他合资格参与者的服务,作为本集团权益工具(包括购股权计划及股份奖励计划)的代价。本集团授出权益工具所换得的僱员及其他合资格参与者的服务的公允价值在归属期间(即满足所有具体归属条件的期间)确认为开支,并相应增加权益。

 

For grant of share options, the total amount to be expensed is determined by reference to the fair value of the options granted by using option-pricing model, “Enhanced FAS 123” binomial model (the “Binomial Model”), which includes the impact of market performance conditions (such as the Company’s share price) but excludes the impact of service condition and non-market performance conditions. For grant of award shares, the total amount to be expensed is determined by reference to the market price of the Company’s shares at the grant date. The Group also adopts valuation and actuarial techniques to assess the fair value of other equity instruments of the Group granted under the share-based compensation plans as appropriate.

就授出购股权而言,将予列支的总额是经参考采用期权定价模型-「Enhanced FAS 123」二项式模型(「二项式模型」)授出的购股权的公允价值而厘定,包括市场表现条件(如本公司股价)的影响,但并无考虑服务条件及非市场表现条件的影响。就授出奖励股份而言,将予列支的总额是经参考本公司股份于授出日期的市价厘定。本集团亦采用估值及精算方法评估本集团其他权益工具(根据股份酬金计划适当授出)的公允价值。

 

Non-market performance and service conditions are included in assumptions about the number of options that are expected to become vested

非市场表现及服务条件包括于有关预期归属购股权数目的假设内。

 

From the perspective of the Company, the grants of its equity instruments to employees of its subsidiaries are made in exchange for their services related to the subsidiaries. Accordingly, the share-based compensation expenses are treated as part of the “Investments in subsidiaries” or “Other receivables” in the Company’s statement of financial position.

从本公司的角度来说,向附属公司僱员授出的权益工具乃为换取附属公司的僱员为附属公司的服务。因此,相关股份酬金开支被视为本公司财务状况表内「于附属公司的投资」或「其他应收款项」的一部分。

 

(3) Share-based compensation股份支付费用(某上市公司美股招股说明书)

 

(a) 股权激励计划Share Incentive Plan

In December 2017, the Company adopted the Equity Incentive Plan (the "2017 Plan"), approved by the Board of Directors, which was subsequently amended in December 2020. Share options, restricted shares and restricted share units ("RSUs") may be granted to employees, directors and consultants of the Group under the 2017 Plan. As of December 31, 2020, the maximum aggregate number of ordinary shares which may be issued pursuant to all awards under the 2017 Plan is AAAAAA shares.

2017年12月,本公司通过了经董事会批准的股权激励计划(“2017年计划”),该计划随后于2020年12月进行了修订。根据2017年计划,本集团的员工、董事和顾问可被授予股票期权、受限股票和受限股票单位。截至2020年12月31日,可根据2017年计划项下的所有激励发行的普通股之最大总数为AAAAAA股。

 

Share-based awards granted under the 2017 Plan have a contractual term of seven years from the stated grant date and are generally subject to a four-year vesting schedule as determined by the administrator of the 2017 Plan. Depending on the nature and the purpose of the grant, share-based awards generally vest 15% upon the first anniversary of the vesting commencement date, and 25%, 25% and 35% in following years thereafter.

2017年计划项下所授股权激励的合同有效期为七年,自规定的授予日起算,总体上受该计划管理人确定的四年归属期的约束。根据授予的性质和目的,股权激励通常在归属开始日期起一周年届满后归属15%,在随后的几年中分别归属25%、25%和35%。

 

(b) 替代XX中未归属期权的股权激励Replacement awards to exchange for unvested options of XX

Immediately prior to the closing of the acquisition of 99 Taxis in January 2018 (Note 4), each unvested option granted by 99 Taxis was exchanged for an option of the Company under the 2017 Plan based on a pre-determined ratio with its vesting requirement remained unchanged. 紧随2018年1月对XX的收购交割之前(注4),XX授予的各份未归属期权均根据2017年计划以约定的比例交换为本公司的期权,其中的归属规定保持不变。

 

(c) 修改Modification

 

 For the years ended December 31, 2018, 2019 and 2020, XXXXX, XXXXX, and XXXXX existing share options were exchanged for XXXXX, XXXXX, and XXXXX new options, respectively, with different exercise price, leading to incremental cost of XXXXX, XXXXX and RMBXXXXX on the respective modification dates.

(d) 股票期权Share Options

 

The Group uses binomial option pricing model to determine fair value of the share-based awards. The estimated fair value of each option granted is estimated on the date of grant using the binomial option-pricing model with the following assumptions:

本集团采用二项式期权定价模型确定股权激励的公允价值。所授每份期权的公允价值在授予日使用二项式期权定价模型进行估计,基于以下假设:

 

Risk-free interest rate is estimated based on the yield curve of US Sovereign Bond as of the option valuation date. The expected volatility at the grant date and each option valuation date is estimated based on annualized standard deviation of daily stock price return of comparable companies with a time horizon close to the expected expiry of the term of the options. The Group has never declared or paid any cash dividends on its capital stock, and the Group does not anticipate any dividend payments in the foreseeable future. Expected term is the contract life of the options.

无风险利率根据期权估值日美国主权债券收益率曲线估算。授予日和每个期权估值日的预期波动率根据时间范围接近期权预期到期日的可比公司每日股价收益率的年化标准差估计。本集团从未就其股本宣派或支付任何现金股利,且本集团预期在可预见的未来亦不会支付任何股利。预期期限为期权的合同有效期。
