用英语签订的合同，若合同缔约方属于不同的国家，那么合同可能会有不同的语言版本，在发生冲突时，以哪种语言版本为准则需要在合同中明确说明；合同以什么方式签署，是否有副本，副本是否有效或与原件构成同一协议等，也需要在合同中进行说明。这就是合同英语中的语言和文本条款（Language and Copies）。

一、中英文签订，中英文具有同等效力：

This Contract and all appendices hereto shall be written in Chinese and English in duplicate. Each Party shall hold two (2) original copies of each version. Both versions are equally authentic.

本合同及其所有附件应用中英文两种文本拟就，一式两份。合同双方各持有两份中、英文原件。中英文两个版本具有同等效力。

二、中英文签订，发生冲突以英文为准：

The parties hereby covenant and agree that this Agreement is executed and delivered in both English and Chinese，and that in the event of any discrepancy between the two versions，the English version shall prevail.

双方在此约定并同意，本协议以中英文两种文本签订，两种文本之间有冲突的，以英文文本为准。

三、中英（外）文签订，中文文本为准：

This Agreement shall be written in Chinese, and may be written in both Chinese and a foreign language additionally. If the Chinese version differs from the foreign language version of the Agreement, the Chinese version shall prevail.

本协议应当用中文书写，也可以同时用外文书写，同时用中、外文书写的合同文本，内容不一致的，以中文合同文本为准。

四、英文签订，英文文本为准：

This Agreement is executed in English only, and the executed English language Agreement shall prevail in all cases. This Agreement may be executed in one or more counterparts, each of which shall constitute one and the same agreement, and by facsimile or electronic signature.

本协议仅以英文签订，且在任何情况下均以英文文本协议为准。本协议可以一份或多份副本签订，各个副本构成同一协议，可通过传真和电子签名签署。

Executed in two (2) originals (one (1) original for the Borrower and one (1) original for the Lender) in English language and the English language only is authentic, at Paris, on September 30th, 2021.

本协议于2021年9月30日在巴黎签署，一式两份，借款人和贷款人各执一份。本协议以英文书就，以英文版本为准。

此类条款中，在表示以某一文本为准时，通常用prevail一词。在表示不同语言版本具有相同效力时，可以表达为Both versions are equally authentic；Both versions has the same legal effect等。
