Independent Contractor Relationship条款也为No partnership条款或No Agency条款，翻译为“独立关系条款/不构成代理关系（合伙关系）条款。在合同中明确约定合同方无意通过签订本合同在合同方之间建立一种合伙关系或者代理关系。实际审理中，该条款不能完全防止合同被解释为合伙关系，但是可以作为一种防止的机制。

No partnership条款一般常出现在合作协议、市场开发合同、经销合同、股权转让合同等协议内容中：

合作协议（Cooperation Agreement ）——No partnership条款：

Nothing in the Agreement and no action taken pursuant to it shall constitute or be deemed to constitute the Parties a partnership or constitute one Party an agent for the other for any purpose whatever.

无论出于什么目的，本协议所作约定或根据本协议采取的任何行动都不构成或被视为构成合同方之间是合伙关系或一方是另一方的代理人。

经销协议（Distribution Agreement）——No partnership条款：

The parties are not partners or joint ventures nor is the Distributor able to act as agent of the Principal save as authorized by this Agreement.

合同双方不是合伙关系或合资企业，除非本协议授权，分销商也不能作为委托人的代理人。

保密协议（Confidentiality Agreement）——No partnership条款：

Nothing in this Agreement is intended to, or shall be deemed to, established any partnership or joint venture between the parties, constitute any party the agent of another party, or authorize any party to make or enter into any commitments for, or on behalf of, any other party.

本协议的任何内容均不旨在或应被视为构成合同方之间是合伙关系或合资企业、或一方是另一方的代理人、或授权任何一方为任何其他方或代表任何其他方做出承诺。
