英文合同中的法律适用条款（Application of Law Clause）是分处不同国家的当事人之间订立的。由于各国政治、经济、法律制度不同，就产生了法律冲突和法律适用问题。当事人在合同中明确宣布合同适用何国法律的条款称作法律适用条款或法律选择条款。

在选择方法上可以有以下几种：

(1)单一选择。即在合同中明确指明合同适用某一国家的法律(本国的或外国的)作为合同的准据法。

(2)多边选择。即规定整个合同受一国法律管辖、特定条款受另一国法律管辖。

(3)无准据法。即当事人法。合同中规定，合同除受其本身条款约束外，不受任何国家的法律管辖，或由于某种原因，当事人在合同中未规定合同适用的法律。

买卖合同——法律适用条款：

本合同的成立、生效、解释、履行和争议的解决应由中华人民共和国法律（不包括香港、澳门和台湾地区）的管辖，排除冲突法规则。

The formation, effectiveness, interpretation, performance and dispute resolution of this Contract shall be governed by the laws of the People’s Republic of China (for the purpose of this Contract, excluding Hong Kong, Macao and Taiwan), without regard to the principles of conflict of laws.

仲裁协议——法律适用条款：

鉴于合同未含有关实体法的任何条款，故法律问题应根据国际商会仲裁规则第XX 条决定。根据该条规则，仲裁员们应适用它们认为适合的法律冲突规则所规定的准据法则。

The contract contains no provisions regarding the substantive law. Accordingly that law has to be determined by the Arbitrators in accordance with Art.XX of the ICC rules. Under that article, the Arbitrators will apply the law designated as the proper law by the rule of conflicts which they deem appropriate.

采购合同——法律适用条款

任何有关发货的纠纷必须依据采购方业务所在地的有效法律解决。对于来自国外的发货除遵照本通用采购条款外可参照《联合国国际货物销售合同公约》协定执行。

In case of disputes all supplies shall be subject to substantive laws in force at buyer's place of business, deliveries from abroad in addition to the UN Convention on the International Sale of Goods.

法律适用条款之通用模板：

The establishment, effectiveness, interpretation, and performance of this Contract and the resolution of disputes hereunder shall be governed by and construed in accordance with the laws of the People’s Republic of China.

本合同的订立、生效、解释和履行及有关争议的解决，均应按照中华人民共和国法律管辖和解释。

This agreement shall be governed by and be interpreted in accordance with the laws of the Hong Kong Special Administrative Region. With respect to any issues, disputes, lawsuits or proceedings arising from or in connection with the rights and obligations of the parties hereunder, the two parties shall irrevocably accept the jurisdiction of the courts of the Hong Kong Special Administrative Region.

本协议受香港特别行政区法律管辖并按香港特别行政区法律解释。对因本协议或本协议各方的权利和义务而发生的或与之有关的任何事项和争议、诉讼或程序，本协议双方不可撤销地接受香港特别行政区法院的管辖。
