合同中的转让条款（Assignment Clause）一般规定：

一、合同中的权利、利益、责任和义务是否可以全部转让或者部分转让。

二、全部转让和部分转让的条件。

合同性质不同，转让的条件也有所不同。

转让合同的一般模板：

Neither Party may assign this Agreement, in whole or in part, without the other Party's prior written consent, except to (i) any corporation resulting from any merger, consolidation or other reorganization involving the assigning Party, and (ii) any entity to which the assigning Party may transfer all or substantially all of its assets; provided that the assignee agrees in writing to be bound by all the terms and conditions of this Agreement and provides documentation as evidence that the assignee has the ability and capability of meeting all of the obligations under this Agreement.

任何一方未经另一方事先书面同意，不得转让本协议的全部或部分，除非转让给（i）涉及转让方的因兼并、合并或其它重组而产生的任何公司；（ii）转让方可以向其转让全部或绝大部分资产的实体；但受让方须书面同意受本协议所有条款和条件的约束，并提供文件证明受让方有资格、有能力履行本协议项下的全部义务。

The Party shall be free to assign its rights hereof to the third party without obtaining a prior consent from the other party. Notwithstanding, the assigning Party shall deliver a notice of the same to the other Party within 10 days after such assignment.

合同方可以未经对方事先同意而将其在本合同项下的权利转让给第三方。转让方应在转让后10日内向对方发送该转让事宜的通知。

Without prior written approval, no Party have the right to assign its rights and interests and delegate its responsibilities hereunder to an affiliate; provided that Party B shall continue to warrant that such affiliate will complete the purchase of the equity interest in the manner contemplated by this Agreement.

未经事前书面同意，任何一方无权将其在本协议项下的权益和责任转移给关联方；但乙方应继续保证该关联方按本协议规定的方式完成股权的购买。

The rights and obligations of Party B under this Contract shall not be assigned or delegated without Party A’s prior written consent, which consent may be given or withheld in Party A’s sole discretion. In the event Party A consents in writing to any such assignment or delegation, Party B shall not be released from its obligations under this Contract by reason of any such assignment or delegation unless Party A expressly agrees in writing to such release.

未经甲方事先书面同意，乙方不得转让或委派其在本合同项下的任何权利与义务，甲方有权自行决定是否给予或拒绝给予上述同意。即使甲方书面同意乙方转让或委派其任何权利与义务，乙方也不应以该转让或委派为由解除自身在本合同项下的义务，除非甲方明确书面同意解除乙方的任何义务。
