合同中的弃权条款（Waiver Clause）旨在明确合同一方对相关权利和义务的放弃的方式以及效力，避免产生纠纷。

Waiver 一词在法律上即表示a situation in which sb. gives up a legal right or claim; an official document stating this（对合法权利或要求的）弃权；弃权声明。而合同中的弃权条款则表明合同方在何等情况下弃权或不视为弃权。

弃权条款一般包括以下几个方面的内容：

一、合同方未能或延迟行使合同权利不使该方丧失权利；

Unless otherwise provided for, failure or delay on the part of either Party to exercise any right, power, or privilege under this Agreement shall not operate as a waiver thereof, nor shall any single or partial exercise of any right, power or privilege preclude exercise of any other right, power, or privilege.

除非另有规定，任何一方未能或延迟行使其在本协议项下之任何权利、权力或特权不应构成对该等权利、权力或特权之放弃，单一或部分地行使任何权利、权力或特权亦不应排除对任何其他权利、权力或特权的行使。

二、合同方放弃行使合同部分权利不使该放丧失其他权利

No breach of any provision of this Agreement will be waived except with the express written consent of the party not in breach.

除非经由非违约方明确书面同意，否则非违约方将不会放弃对本协议任何条款的违反。

No waiver by a Party to another Party of any provision of this Agreement or any default, misrepresentation, or breach of warranty hereunder, whether intentional or not, will be valid unless the same will be in writing and signed by the Party making such waiver nor will such waiver be deemed to extend to any prior or subsequent default, misrepresentation, or breach of warranty hereunder or affect in any way any rights arising by virtue of any prior or subsequent such default, misrepresentation, or breach of warranty.

一方不行使本协议项下的权利或不寻求救济的，不得被解释为该方放弃关于该条款、其他相应权利或对本协议的效力产生任何影响。一方行使其本协议项下的权利，并不排除或损害该方在其他时间行使相同或其他的权利。本协议项下的权利终止不包括法定权利。

三、合同方没有实施履行抗辩不表明该方放弃要求对方履行义务

No waiver by either party of any term, provision or condition of this Agreement, or of the breach or default of it , shall be effective unless it is authorized in writing by an authorized representative of the party giving the waiver.

任何一方对协议条款、规定或条件的放弃，或对违反或不履行该等条款、规定或条件行为的放弃，均应以书面形式做出并由弃权方授权代表签字方始生效。

No waiver by a Party to another Party of any provision of this Agreement or any default, misrepresentation, or breach of warranty hereunder, whether intentional or not, will be valid unless the same will be in writing and signed by the Party making such waiver nor will such waiver be deemed to extend to any prior or subsequent default, misrepresentation, or breach of warranty hereunder or affect in any way any rights arising by virtue of any prior or subsequent such default, misrepresentation, or breach of warranty.

一方对另一方就本协议任何条款或对本协议项下任何故意或无意的违约、虚假声明或对保证的违反的弃权须以书面形式做出并经该方签署方始生效。并且，该等弃权效力不适用于本协议项下任何先期或后续违约、虚假声明或对保证的违反，亦不会以任何方式影响由该等先期或后续违约、虚假声明或对保证的违反所产生的任何权利。
