合同中的排他性条款（Exclusivity Clause）常在保密协议中约定；也可以在意向书（letter of Intent）或谅解备忘录（Memorandum of Understanding）中约定；也可以是一个独立的排他性协议（Exclusivity Agreement）。主要是约定一方在一定期限内不得与任何第三方就合同给定事项进行谈判或合作，是合同一方给予另一方一种排他性权利（Exclusive right）。

排他性条款通常包括以下几方面内容：

一、排他性条款的否定表述，排他性条款通常在首句即以否定的方式予以规定。

二、排他性条款的时间期限，如在合作协议中，规定合作范围排他性的期限。

三、排他性条款的地域限制，如在销售合同中，限制在某一国家或地区。

《合作协议》Corporation Agreement：

The Parties hereby agree that the scope of cooperation under this Agreement shall be on a " exclusive" basis and that everything in this Agreement shall prohibit any of the Parties from pursuing XXX projects by itself or cooperation with the third parties whether in China or otherwise during the term of this Agreement.

各方在此同意，在本协议有效期内本协议项下的合作范围应为排他性的，且本协议禁止各方单独或与任何第三方合作，无论是在中国或在其他地方进行XXX项目工作。

《谅解备忘录》Memorandum of Understanding：

None of the Parties shall use the name, logo, trade names or trademarks of the other Parties or its subsidiaries, and/or affiliates, or any abbreviation of the aforesaid， for whatever purposes and in whatever manners, whether or not it is in connection with its business or otherwise, unless express prior written approval of the other Parties are obtained in each case of use with terms to be agreed.

除非按照约定经一方事先书面允许,任何一方不得为任何目的、以任何形式使用其它方和/或其子公司、附属公司的名称、标识、商号或商标,不论该使用行为是否与其自身业务有关。

《保密协议》Non-disclosure Agreement:

Both parties agree upon negotiation that the receiving party shall not divulge or disclose any confidential information having obtained from the disclosing party to any third party during the period of the confidentiality, nor shall it use the same for any purpose other than the permitted purpose.

经协议双方协商，约定接收方在该期限内不得向第三方透露其所获取的对方保密信息，且不得将获取的保密信息用于协议双方约定目的以外的任何用途。

排他性条款中文模板：

《投资条款清单》：

公司同意，在签订本框架协议后的肆拾伍（45）天内，公司及其股东、董事会成员、员工、亲属、关联公司和附属公司在未获得投资人书面同意的情况下，不得通过直接或间接方式向任何第三方寻求股权/债务融资或接受第三方提供的要约；不得向第三方提供任何有关股权/债务融资的信息或者参与有关股权/债务融资的谈判和讨论；且不得与第三方达成任何有关股权/债务融资的协议或安排。如公司为满足本框架协议中股票购买协议部分所载明成交条件造成延期，本排他性条款有效期限自动延展。尽管有上述规定，若公司或投资人均未在排他性条款有效期截止日五天之前发出希望终止谈判的书面通知，则公司应继续与投资人进行排他性谈判直至公司或投资人发出书面终止谈判通知。
