Party A has obtained and shall maintain during the Term hereof, standard producer's (errors and omissions) insurance in respect of the Content and shall add Party B as an additional insured thereon in such form as provided by insurers in England or the United States, as applicable (it being on a claims made basis if obtained in England or may be on an occurrence basis if obtained in United States provided that the term of such insurance is sufficient to cover the full license period Party B is provided to distribute the Content). Party A covenants and agrees to maintain such errors and omissions insurance for a period of not less than three (3) years from the term of this Agreement and have limits of not less than one million dollars ($1,000,000) per occurrence and three million dollars ($3,000,000) in the aggregate and shall have a deductible of not greater than twenty five thousand dollars ($25,000) per occurrence. The insurance policy shall provide that it shall be primary, and that no insurance that may be maintained by Party B shall be deemed contributory in any way, and that insurer shall provide Party B with at least 30 days' notice of cancellation or material change in coverage.
