The Sales Representative acknowledges and agrees that the relationship intended by this Agreement is that of independent contractor and not that of employee. This Agreement is not to be construed as creating a partnership, joint venture, fiduciary, or other similar relationship, neither party is liable for the debts or obligations of the other, and neither has authority to bind the other to any contracts at all. The Sales Representative is free to employ staff or independent or independent contractors, and Party A has no power to limit, fire, or hire such persons.
