许可授予（Grant of License）条款是许可协议（License Agreement）中的核心条款之一，对许可的授予方式、授予范围、交付日期、有效期、权利限制等进行了规定。以下为部分许可协议中的许可授予条款双语示例，供参考：

2.2 All Know-How due under this Agreement shall be delivered to Licensee prior to or on the Effective Date in written, oral or other form of communication.  No additional Know-How shall be due after the Effective Date.

2.3 This Agreement confers no license or rights by implication, estoppel, or otherwise under any patent applications or patents of University other than licensed Patent Rights regardless of whether such patents are dominant or subordinate to licensed Patent Rights.

Granting of rights

(1) AAA hereby grants BBB for the duration of the Privileged Period an exclusive (subject to paragraph 2 below), non-transferable license for the Contractual Property Rights and the Contractual Know-how with respect to the manufacture of Turn-Key Lines and Single Equipment by BBB in ROW as well as for offering for sale and for selling (i) in ROW, and (ii) with the prior written consent of R&D JV (for each individual sale), which shall not be unreasonably denied, solely by way of direct sale to the Equipment JV for resale in PRC, Turn-Key Lines and Single Equipment that are manufactured in accordance with the foregoing provisions.

(2) For the avoidance of doubt, AAA retains the right to manufacture solar modules within the scope of protection of the Contractual Property Rights and/or the Contractual Know-How in Germany, and to offer for sale and sell them world-wide. The R&D JV retains the right to manufacture solar modules within the scope of protection of the Contractual Property Rights and/or the Contractual Know-How in PRC, and to offer for sale and sell them world-wide. Furthermore, the license to use the Contractual Property Rights and/or the Contractual Know-How is subject to a license granted by AAA to the R&D JV and its sub-licensees. BBB acknowledges and agrees that such license involves the offering and sale of Contractual Products by such sub-licensees also in ROW.

(3) “Privileged Period” means the period from the date of the execution of this Agreement to the date when the aggregate Planned Production Capacity of the Turn-Key Lines and Single Equipment for which a binding purchase agreement has been signed by the R&D JV, ChongQing Shenhua Solar Technology Ltd. (also referred to as the “Module JV”) and other Affiliates of Shenhua reaches 1 (one) giga-watt (GW). For the avoidance of doubt, the Planned Production Capacity of the CIGSfab and the CIGSlab shall count towards the 1 (one) giga-watt (GW) threshold.

(4) With respect to the term after the expiration of the Privileged Period according to section 4 paragraph 3, AAA hereby grants BBB a non-exclusive license for the Contractual Property Rights and the Contractual Know-how with respect to the manufacture of Turn-Key Lines and Single Equipment by BBB in ROW as well as for offering for sale and for selling (i) in ROW, and (ii) with the prior written consent of R&D JV (for each individual sale), which shall not be unreasonably denied, solely by way of direct sale to the Equipment JV and also to Other Equipment Manufacturers for resale in PRC, Turn-Key Lines and Single Equipment that are manufactured in accordance with the foregoing provisions.

(5) During as well as and after the expiration of the Privileged Period BBB may grant to BBB Customers sub-licenses in ROW, however, only to the extent this is necessary to enable them to use a Turn-Key Line or a Single Equipment delivered by BBB for the manufacture of Contractual Products, and with the further condition that BBB (i) obliges the BBB Customers in writing to comply with all restrictions of the license granted hereunder (including, for the avoidance of doubt, any applicable third party licensing terms and any other applicable restrictions, including any restrictions following from co-ownership of any of the Contractual Property Rights and Contractual Know-how)and all provisions regarding sub-licenses hereof, (ii) links the sub-license to the operation of a particular Turn-Key Line delivered by BBB or a particular Single Equipment delivered by BBB, (iii) obliges the BBB Customers in writing to comply with the confidentiality obligations and restriction of use regarding the Contractual Know-How to at least the extent to which BBB itself has to comply under this Agreement with confidentiality obligations and restriction of use, (iv) obliges the BBB Customers in writing to grant AAA a non-exclusive, royalty-free, sub-licensable license for the purpose of research in connection with CIGS Technology (back license), (v) obliges the BBB Customers in writing to not apply for registration of property rights that are at least partially based on the Contractual Property Rights and/or the Contractual Know-How without the written approval of AAA, (vi) notifies AAA duly in advance in writing of the conclusion of the respective sub-license agreement. This right to sub-license does not include the right of the BBB Customers to further sub-license the license sub-licensed to them; they may, however, transfer it to a purchaser or other legal successor of the corresponding Turn-Key Line or Single Equipment for which the sub-license was granted, provided that AAA is notified about this duly in advance in writing. Any further right to grant sub-licenses for, and any right to transfer the license shall be excluded. BBB shall monitor and enforce compliance with the provisions of the sub-license including after the termination hereof. BBB commits to (i) notify AAA without undue delay (unverzüglich) if it has indication of any non-compliance with the requirements of this Agreement, (ii) to provide appropriate information and data reasonably required by the AAA to verify BBB' and its sub-licensees' compliance, including by providing, subject to applicable non-disclosure obligations, the purchase agreements with the customers, and (iii) if AAA has indication of any non-compliance with the requirements of this Agreement, to tolerate any audits by AAA to monitor such compliance. BBB will follow reasonable instructions given by AAA in relation to the use of the Contractual Property Rights and the Contractual Know-How. Any transfer and any sub-license which is not in compliance with the provisions of this paragraph 5 shall be void. The provisions of this paragraph 5 shall apply accordingly to the sale of Turn-Key Lines and Single Equipment by way of direct sale to the Equipment JV and, after the Privileged Period, to Other Equipment Manufacturers for resale in PRC.
